Ok, thanks. I exercised some 9/1 and it took until 9/8 to get the shares which is much longer than usual, but looks like you had same experience. 8/31 was first day to exercise cashless since that's when FMV was announced. The offer has a covered protection period (notice of guaranteed delivery) in the DTC WARR system, so you should be able to buy and exercise unsettled. Cash exercise is different ofc, but unsettled tender is standard for these warrant redemptions (ROIV, ALLG, etc). But I'm a little worried that my Thursday/Friday purchases and instructions were not accepted. Computershare is the WA, not Continental, so could be different than normal. If they don't accept unsettle, then all those warrants that traded on Thur/Fri expired worthless ($0.10)!

Yeah, never have understood how that works. Newly issued shares from S-4 / F-4 registrations are clearly immediately tradeable, so no idea why the shares underlying warrants would get different treatment. One thought was that if the company files a F-1 with the shares underlying the warrants included after the business combination closes, that supersedes the F-4/424B3 effective filing, and now the warrant holder has to wait until that F-1 becomes effective. For example, in the case of ALLG, the business combination closed on March 16, 2021. Then on March 31 ( before that 30 day window closed ) ALLG filed a F-1, and included the shares underlying the warrants.
Yes, agree. But plenty of SPACs register the shares underlying the warrants on the S-4/F-4 but then still require a S-1/F-1 to cash exercise. So it’s really hard to say what position they will take. Like for ALLG (who registered shares underlying warrants on F-4) I explicitly confirmed with IR that no F-1 was required, and then when close+30 days rolled around, they said “sorry F-1 is actually required”. Couple of spacs have been sued over this actually, but as of now it’s a judgment decision that is up to the company and their counsel. I’d say 60-70% of spacs who registered warrant shares on S-4/F-4 still require S-1/F-1.

Actually, this seems like a good deal for warrant holders. .23 shares each when the common is at $2 ( or below ) is ***much*** better than the typical cashless conversion offer. The business combination with Spartan Acquisition Corp. III closed on March 16, 2022, meaning the warrants expire in March 2027, and currently have about 43 months remaining. According to the chart in the [warrant agreement](https://www.sec.gov/Archives/edgar/data/1838527/000156459021001342/spaq-ex44_65.htm) Section 6.2, if the warrants have 42 months remaining, the cashless exchange ratio would be .228 if the warrants were called for redemption because the stock was $10 for one day; and that is if the price of ALLG is ***$10 or less***.

Look at SEC with ticker CRML. They are foreign so they do it through the future ticker (from my experience with DCFC and ALLG) original was filed 12/23/22 with 3 amendments so far.

It’s a short squeeze….15% isn’t a big swing….that’s like a slow day lol. Hell RDBX lost 52% today. ALLG was up like 60% at one point.
Yeah I was talking about SNAX. ALLG was an extremely crowded short.
ALLG spiked partly because it was heavily shorted with a tight float as PIPE did not dump. This along with momo pumpers joining in caused the run. A low float does not mean anything when it is full of longs who are deep underwater and negligible SI. There are plenty of pennystocks like that.

I want to give him the benefit of the doubt, as he does regularly post these "valuation comparison" tables, and he usually posts good-quality thoughtful content - I just thought the timing was strange this time.. Funnily enough, Evbox is also a dutch company. As a Dutch person, I really don't trust dutch companies not listing on the dutch market and only on international ones, but making an exception for ALLG. Mostly due to lowfloat and 200+% borrow fee reasons.
Took a position in ALLG. With the trend of old despacs pumping, the float still low here, I think it might see one more pump. Company in itself is not terrible, but based on what I know from Dutch newspapers( company is Dutch) a little dodgy.
I'm encouraged by this FAZE price action. First day rug pull was brutal, probably shook out a lot of retail. At the same time, retail probably went heavy short, and are now trapped with 300% CTB and the price at $10.40. If FAZE really knows an ounce of the SPAC game, they will release the redemption numbers ASAP (I believe they have to by Monday AH). I dream of the explosive move that PGY has when those figures were released. Also ALLG. 80k volume so far today would indicate insiders aren't dumping 🤞

Bought some ALLG - it touch all time low today at 3.83 Valuation is around 1 bill now for one of europe's biggest EV chargers and it's oversold on all important time frames....also, the float is still low. Somehow I missed ALLG's F-1 from 3/31 but alas I checked it today and they're the last mystery SPAC investment of Palantir! The unrealized gains for ALLG raises their Spacfolio performance to (170mm) since inception of ~405mm cost basis. Biggest losers: BBLN, LILM, WEJO, FRSD, FFIE. One more still not merged (Rubicon, RBT/FOUN)
it's all in the warrant price GGR has been in the $6s for more than a week yet warrants are still above a dollar and barely move down while ALLG has been over 10 for a while(drop to 7s from 28 and went back up over 10 pretty fast)...yet the warrants are still under $1
I like ALLG but GGR seems to have a better chance at massive revenue growth IMO.
