No, ALUR has to reset the $10 trigger price for cashless redemption to $7.04, the $18 trigger price for cash redemption to $12.67, and the exercise ratio from one warrant exercises for one share of ALUR to one warrant exercises for 1.420455, because of what is known as the ***crescent terms*** of the warrant agreement. Section 4.4 deals with shares issued in Connection with the Initial Business Combination. Section 4.5 is the reorganization clause for after the business combination closes, including the Black Sholes adjustment. 4) Changing the redemption clauses in Section 6.1 and 6.2 from "at any time during the Exercise Period" to "after a date that is ninety (90) days after the date on which Compute Health completes the initial Business Combination" 5) The $18.00 per share cash redemption trigger price will be adjusted to be equal to $12.67 ( Section 6.1 ). 6) The $10 per share cashless redemption trigger price will be reduced to $7.04 ( Section 6.2 ). The press release also says the warrants "will become exercisable for 1.420455 shares of Pubco (as defined below) at an exercise price of $8.10 per share". That is a correction, a clarification of the per share exercise price. It will still take $11.50 to exercise one warrant. The DEFM14A proxy/prospectus said throughout that "will become exercisable for 1.420455 shares of New Allurion Common Stock at an exercise price of $11.50 per share". That was a mistake, that should read at an exercise price of $11.50 per warrant. Each warrant will exercise for $11.50, in exchange warrant holders will receive 1.420455 shares of ALUR. **$11.50 divided by 1.420455 equals $8.096** ***per share***. If warrant holders vote NO, their warrants exchange one for one for new ALUR.WS warrants which will exercise for 1.420455 shares of ALUR for $11.50, and the rest of the warrant agreement remains unchanged. ALUR would have to change the cash and cashless redemption prices to the lower values due to the terms of the existing warrant agreement.

It's interesting, looks like CPUH made two errors in the warrant amendment. They specified the wrong Section of the warrant Agreement to delete, and they specified the wrong per share exercise price. Some warrant holders might look at that exercise price change and think, "Oh, okay, now I get 1.4 shares of ALUR for $8.10". Be interesting to see how the vote goes this week. Wonder if the warrant amendment is voted down if CPUH will postpone the business combination meeting and try a different offer on the warrants. Don't recall a company ever scheduling the warrant holders' meeting three days ahead of the business combination meeting before. Obviously, "Forfeit one half of your warrants for the good of the company; and oh, forfeit your right to any Black Scholes value if there is a buyout in two years also" is worthy of a NO vote. Perhaps CPUH would then come back and offer 50 cents per warrant ( like MBAC and MNTN are doing ) instead. There are 21,562,500, that would cost ALUR $10,781,250 and would eliminate ALL the warrants. Or perhaps offer 0.05 to 0.1 shares of ALUR per warrant, that would be somewhere in the range of 1,078,125 to 2,156,250 shares of ALUR, and would again get rid of ALL warrants.

It seems funny, but that's actually what the company is proposing. "[The Compute Health Board believes](https://www.sec.gov/Archives/edgar/data/1828608/000119312523183845/d445118ddefm14a.htm) that the Warrant Amendment will increase New Allurion’s opportunities and attractiveness to future investors by significantly reducing the dilutive impact of the Compute Health Public Warrants." ( Page 261 ) MBAC and MNTN are proposing to buy out their warrants for 50 cents each. In the past, SPACs have offered a cash payment in exchange for reducing the exercise ratio of the warrants. In 2019, Thunder Bridge ( TBRG ) offered $1.50 per warrant in exchange for reducing the exercise ratio from 1:1 to 4:1, for example. In this case, CPUH wants warrant holders to agree to forfeit half of their warrants, and void the Black Scholes buyout clause, in exchange for one extra year of duration on the warrants. Don't have any of these but certainly wouldn't vote for this amendment.

Perhaps am reading it incorrectly, but in layman's terms, it looks like a stupidity test. CPUH and Allurion are asking CPUH.WS holders to vote to lose money. Basically, if the warrant amendment is approved, if someone holds 2000 CPUH.WS warrants, after the business combination, they will receive 1000 ALUR.WS warrants. To make up for that, Allurion has kindly agreed to extend the exercise term from 5 years to six years. If warrant holders vote NO, if someone holds 1000 CPUH.WS warrants, after the business combination, they will receive 2000 ALUR.WS warrants, but with a five year term. In either case, each ALUR.WS will be exercisable for 1.420455 shares of New Allurion Common Stock at an exercise price of $11.50 per share. Plus, if the warrant amendment is approved, the Black-Scholes valuation of the warrants in case of a cash buyout of Allurion somewhere down the road is eliminated. The description on page 9 and page 260 is a bit dense, but the text of the actual warrant amendment, Annex D page 1, seems pretty clear: "2. To add a new Section 3.4 immediately following Section 3.3, which shall read as follows: Business Combination. Notwithstanding any other provision in this Warrant Agreement, upon the completion by the Company of an initial Business Combination, (i) **each Public Warrant will be exchanged for one-half of one Public Warrant of the surviving or ultimate parent entity following such initial Business Combination** (“Pubco”), (ii) each Public Warrant will be exercisable for 1.420455 shares of Common Stock of Pubco at an exercise price of $11.50 per share and (iii) the duration of the Warrants, as set forth in Section 3.2, will be extended to 5:00 p.m., New York City time on the date that is six (6) years after the date on which the Company completes its initial Business Combination. 3. Section 4.5 of the Original Warrant Agreement is hereby deleted in its entirety and replaced with the following: \[Reserved.\]" Section 4.5 of the current warrant agreement has the Black-Scholes buyout clause. From page 260: "If the Warrant Amendment Proposal ***is not adopted***, then **Compute Health Warrant Holders (i) will, upon consummation of the Business Combination, receive one New Allurion Public Warrant for each Compute Health Warrant that they hold** and (ii) **each such New Allurion Public Warrant would be exercisable for 1.420455 shares of New Allurion Common Stock for an exercise price of $11.50 per share.**" So, would you like to vote to receive half as many warrants as you currently hold, with a six year term; or the same amount of warrants with a 5 year term? Guessing this gets a lot of NO votes. "The approval of the Warrant Amendment Proposal will require the affirmative vote of the Compute Health Warrant Holders holding at least 50% of each of (i) the outstanding Compute Health Public Warrants and (ii) the outstanding Compute Health Private Warrants. Abstentions and broker non-votes, while considered present for the purposes of establishing a quorum, will count as a vote cast “AGAINST” the Warrant Amendment Proposal." The CPUH sponsor is also apparently forfeiting their warrants; which makes one wonder why they would need to vote to approve the warrant amendment: "All of the outstanding Compute Health Private Warrants are held by the Sponsor. The Compute Health Private Warrants **will be recapitalized for no consideration in connection with the CPUH Recapitalization and the Sponsor will not receive any New Allurion Public Warrants**." Actually, the CPUH sponsors have apparently agreed to take quite a haircut on this deal: “**CPUH Recapitalization**” refers to (i) each of the **21,442,500 shares of Compute Health Class B Common Stock and all 12,833,333 Compute Health Private Warrants held by the Sponsor** and (ii) each of the 90,000 shares of Compute Health Class B Common Stock held by the Additional Class B Holders, in the aggregate, immediately prior to the CPUH Merger Effective Time **being exchanged and converted into, in the aggregate, 2,151,687 shares of Compute Health Class A Common Stock**, in each case, immediately prior to the transactions contemplated by the Sponsor Contribution Agreement and pursuant to the terms of the Sponsor Support Agreement." So CPUH sponsor will exchange 21.442 million Class B shares plus 12.833 million private placement warrants for a total of ( 2,151,687 \* 1.420455 ) = 3,056,374 ALUR shares after the business combination. That's from the first read through of some terms, could be some errors, feel free to correct any if you spot some.

CPUH-W, in their S4 today , plans to (in essence ) combine their warrants in a 2:1 fashion for anti dilution purposes. Not great for warrant holders, though not terrible depending on your entry cost basis. Extending 1.4 shares of Allurion to those who do not redeem, and the same for warrant holders. I wonder if other SPACs will follow. As below. I'm curious to what your plans are if/when they convert the warrants. Do you plan on holding common shares of the company or taking your profits then. I have an order of magnitude less of this than you but I do like everything that I have read about Allurion thus far. The co-chair, allegedly, (who knows by Stock-twits profiles) came and posted a picture of the meet up in Paris in the early hours this morning. His comments: "This is $CPUH (to be $ALUR). Following the strategy of targeting pre-DA warrants with an LOI and an extension vote/approval, I hit on 6 DA’s in the past 2.5 months or so (CPUH, ANZU, ALTU, OXUS, VHAQ, ATAK). More than I had all of 2021 and 2022 combined. Would’ve been thrilled if you told me that I would have so many DAs to start the year. Unfortunately, most of them have not yielded the returns that I had hoped for… also had one liquidation (NVSA) even with an LOI and extension vote scheduled. Still holding a few pre-DA but don’t think I’ll be adding too many new ones going forward.

CSTA and GPAC just got essentially taken over by another entity. all directors left and both spacs got the same two guys. it’s kinda whacky but i bet DA incoming given the cost of the extension monthly both got extensions and had a big bump yesterday in volume/price but under 10 cents. Not sure what typical timeline is but a recent extension vote I’ve been following (CPUH), it was two weeks between preliminary and definitive proxy statement. And they announced an LOI at the time of preliminary filing I think DA is unlikely prior to extension vote. There will be redemptions that come with extension vote and they won’t be able to have a valuation for a company without knowing how much you have left in the trust (unless they agree on a deal and then renegotiate after getting the final redemption numbers?)
