I think it makes more sense to buy some other CBD companies and roll them up into CWEB later. There are probably some incredibly cheap CBD companies out there, because most have not had BAT's financial backing to survive like CWEB has had. If we see Delta 8 get banned there are instantly going to be lots of companies throwing in the towel, because they were only viable as long as they could convert CBD isolate to Delta 8 to sell at a higher price.

The implementation of the Farm Bill could be when they are finally going to ban Delta 8? I have theorized it would make sense to do this at the same time as Schedule 3. They are having the 2024 DEA Supply Chain conference at the end of April. At the previous one they said they were still working on finalizing the Farm Bill related rule (see page 27). The previous Supply Chain Conference is where some cannabis action happened. Here is the [powerpoint](https://www.deadiversion.usdoj.gov/mtgs/supply_chain/conf_2023/Boos.pdf) from that conference, back in May of 2023. They talk a lot about Delta 8 and synthetic cannabinoids. You can see on page 22 is where they call out [six synthetic cannabinoids](https://businessofcannabis.com/six-synthetic-cannabinoids-placed-in-schedule-1-in-effort-to-avoid-imminent-hazard-to-public-safety/), which were recently designated Schedule 1. This conference is the source of the reporting on CBD and synthetic cannabinoids from [MarijuanaMoment](https://www.marijuanamoment.net/dea-official-says-new-rules-are-coming-for-synthetic-cannabinoids-including-cbd-and-delta-8-thc/) that they didn't report on until 2 weeks after the conference was over. This was even though [Vicente](https://vicentellp.com/insights/dea-proposes-reschedule-hemp-derived-cannabinoids/) was reporting on it almost a full week prior. The MarijuanaMoment article presumably was the reason CWEB's price crashed from $0.3 down to like $0.2 on big volume, even though I interpreted the reporting as good news for CWEB. That led to my [theory regarding OGI/CWEB/BAT](https://www.reddit.com/r/weedstocks/comments/13nz8b5/why_i_believe_charlottes_web_cbd_is_about_to_be/?utm_source=share&utm_medium=web2x&context=3) having reached an agreement on the next stage of their partnership, because they were waiting on confirmation that Delta 8 was going to be dealt with. There was no reason for CWEB to crash based on the substance of that reporting, and there was some odd timing with SEC filings and MarijuanaMoment's reporting. In the middle of that supply chain conference (5/3/2023) they discussed upcoming enforcement priorities. On that day [OGI was granted confidential treatment](https://www.sec.gov/Archives/edgar/data/1620737/999999999723002333/filename1.pdf) related to their initial investment with BAT from 2 years prior, and CWEB filed an S-3 form saying MLB shares were available for resale. Now I'm not sure about this, but if you were potentially lending out your shares for shorting, would you need to register them like this? Because CWEB tried to [accelerate that S-3 filing](https://www.sec.gov/Archives/edgar/data/1750155/000000000023004856/filename1.pdf), but were initially denied due to a paperwork issue. They were finally granted the acceleration on 5/17/2023, which happened to be the day MarijuanaMoment finally decided to put out their article on the conference after sitting on it for 2 weeks. A few weeks later the CWEB founders (with BAT and MLB support) came in and re-asserted their positions with the company. Then after they settled that board dispute BAT made a new investment in OGI. I have said for a while I think Schedule 3 will come along with a banning of Delta 8 at the same time. I am hoping that leads to the CBD market stabilizing, and CPG companies feeling confident about making investments in that part of the cannabis sector again.

You do realize CWEB is partnered with BAT who just made a major investment in Canadian LP Organigram, right? I feel like you couldn't have picked a worse example to try to make your point.... Canadian companies are operating in a federally legal market and are on major exchanges. Even with Schedule 3, US companies selling recreational THC will still be operating in a federally illegal market, and still have issues with banking and uplisting. That's a pretty simple reason.

Schedule 3 doesn't directly change their financial situation, so it's understandable if they don't react to it as much as others. What you'd want to look out for regarding HHS/DEA is whether or not they come out clarifying the legal status of Delta 8 THC. We were getting reports back in May about new rules coming for synthetic cannabinoids including Delta 8, but they've been pretty quite since. I am personally fairly confident they are going to make the Delta 8 clarification at the same time as Schedule 3, but they may not. It would be good for CWEB if Delta 8 is outlawed, as many of their competitors are only surviving because they were able to convert a lot of CBD isolate into Delta 8. CWEB has been very outspoken against associating hemp with intoxication in any way, so they have never touched Delta 8. Clarifying Delta 8's status may give major companies the confidence to invest further in CBD as well. After that the Farm Bill is the primary catalyst for hemp/CBD companies. The hemp industry has a lot of goals, but the main ones are separating industrial hemp from cannabinoid hemp, getting CBD regulated like a dietary supplement, and SAFE Banking. Biggest risk there is that the Farm Bill is gigantic and very complicated, and could get delayed further for any number of reasons. CWEB should have the cash and support from BAT to ride out any delays though. In regards to CWEB's future, I'm confident because of the commitment BAT has shown to pursuing CBD and health/wellness products in general, and their recent additional commitment to OGI. When BAT first invested in OGI they made it clear CBD was the focus, and that was before their CWEB investment. In early 2023 Beena was saying on a podcast that OGI was considering CBD companies as an entry into the US, but needed the regulations cleared up in regards to intoxicating products like Delta 8. So I am hoping OGI either rolls up some other CBD companies in the US, or they utilize some investment money to expand CWEB's product offerings. Will also have to keep an eye out for CWEB possibly pursuing their option to acquire the Stanley Brother's THC business. Main thing to keep an eye out for with that is THC businesses uplisting, as that is the primary barrier. The Stanley Brothers had been exclusive partners of VidaCann in Florida, so they are associated with Planet 13 now. The fact that the Stanleys are still large stakeholders and have recently become actively involved in CWEB again gives me hope that good times are coming soon. Good luck. I don't think we can generalize all LPs together like that. There are some small ones that appear to be reasonable value at this moment in time, and some larger ones like OGI with zero debt and a major partner. I don't care about zooming out. I care about the current state of the market and the current financials of the companies. Canada re-visiting their excise taxes is more important for LPs than the DEA, at least in the short term. I am hopeful the DEA comes out clarifying the illegality of Delta 8 though, which should provide a boost for CBD-focused companies like BAT/OGI/CWEB. In interviews with Beena in early 2023 she had said they were looking at CBD for their US entry, but needed the confusion cleared up about legality first.

Really enjoying InterCure's strength lately. They were crushed after the onset of the war in Israel, but I doubled down on them under $1.10. Israel was seeing a sharp uptick in cannabis prescriptions after the war started, so I think it might be a sneaky opportunity in cannabis investing. Still waiting to hear news about their facilities and actual impact on their business from the attack (anybody see news on this anywhere?). They are confident Israel will reimburse them for any damages though, and international partners have offered to cover any supply issues. If they did have significant damages though, I think it could be a golden opportunity for OGI to take a stake in them when they get their investment money from BAT in like a week. OGI and CWEB already have partnerships with InterCure. If they needed some cash to hold them over until Israel comes through with reimbursement it could be a really good value. Give them cash now and get cheap equity, then essentially recoup the investment whenever Israel does come through in the future. What are your thoughts OGI people? Any company you'd rather see them invest in besides InterCure?

The specific price action is most likely nothing. I don't want people to think I'm predicting anything because the stock has dropped. I mostly wanted to take the opportunity to mention that DEA conference and subsequent reporting again. I think that's the important thing to focus on for the future of CWEB. We have a few things relating to cannabis we know are coming in the near future. 1. New rules from DEA on synthetic cannabinoids like Delta 8 and synthetic CBD (from DEA conference in May) 2. DEA announcing cannabis to Schedule III (from HHS recommendation in August) 3. SAFE Banking ("soon") 4. Farm Bill (most likely early 2024, but can be delayed) I think it makes a lot of sense for the DEA to announce items #1 and #2 together, since if they do Schedule 3 first it would be confusing for Delta 8 to suddenly be able to be claimed as totally legal (as a hemp product), schedule 3 (as a cannabis product), or illegal (as a synthetic product) depending on your viewpoint. I think it also makes sense that politicians would have wanted Delta 8 fixed before passing SAFE. With the added political cover of Delta 8 being banned, and cannabis being officially Schedule 3, I think we'll finally get SAFE passed. The timing and subject matter both making SAFE perfect for inclusion in the Farm Bill, thus avoiding any issue with the Speaker of the House never bringing SAFE to a vote by itself.

Certainly no "inside" scoop. In general I don't think it's worth trying to assign reason for every daily price movement. With a stock of this low of a market cap, you can expect some decent swings. Now that being said, I do have a little bit of thoughts. Simply because it was one very large volume candle that dropped it down to around $0.22. The last time I saw that particular price action was during the time period in mid-May, after the [DEA conference](https://www.deadiversion.usdoj.gov/mtgs/supply_chain/conf_2023/Boos.pdf) where CBD and synthetic cannabinoid topics were brought up. This conference was from May 2nd - May 4th of this year. It was two weeks later when Marijuana Moment [reported](https://www.marijuanamoment.net/dea-official-says-new-rules-are-coming-for-synthetic-cannabinoids-including-cbd-and-delta-8-thc/) new CBD and synthetic cannabinoid rules were coming from the DEA, and CWEB took a nose dive on massive volume down to about $0.22. I went [in-depth](https://www.reddit.com/r/weedstocks/comments/13nz8b5/why_i_believe_charlottes_web_cbd_is_about_to_be/?utm_source=share&utm_medium=web2x&context=3) back then to show that the headlines about those new rules were misleading, and that upcoming rule clarifications will be a big positive for CWEB (who does not touch Delta 8). During that DEA conference (and both filed on the same day) Organigram filed a confidential treatment order for their original investment with BAT, and CWEB filed an S-3 disclosure indicating the MLB's shares were able to be re-sold. Now my reasoning for this was that CWEB would be changing hands, becoming a subsidiary of OGI (or BAT). Earlier this year BAT invested $10M in a joint venture with CWEB. They could buy out a significant portion of CWEB with that amount of money currently. With what they just committed to OGI very recently, they could buy CWEB outright multiple times. I think it all has to get done before they seriously bring up the Farm Bill, as they cannot afford to screw up hemp/CBD again like they did in 2018. So they need input from the actual regulatory agencies who will be overseeing hemp/CBD/cannabis.

Correct, because nothing has changed with the CBD industry, nothing significant has changed with their financials. There are no good financials in the CBD industry right now. That is why this is specific play has always been for the upcoming Farm Bill and upcoming clarifications on CBD and synthetic cannabinoids from the DEA. CWEB has a good cash position, especially relative to market cap, thanks to their BAT investment. Seeing BAT make moves with OGI very recently gives me plenty of confidence in their commitment to their cannabis subsidiaries. They could buy CWEB outright a couple times with what they just committed to OGI. And BAT just recently got some board changes they were in support of at CWEB. So I'm continuing to ride them out at least through the Farm Bill, where I will look at what Congress is doing with CBD and reassess. I'm pretty confident they are going to solidify the industry, as I believe it's a Republican priority. At the very least I think CBD will get talked about in mainstream media again. If I really don't like what I see from Congress, I believe I could exit CWEB on a pump based on a resurgence in CBD media coverage once we actually get Farm Bill talk starting.

I have been expecting BAT to make some kind of move prior to the Farm Bill, and the expected clarifications regarding CBD that will come with it. Between OGI, CWEB, Open Book Extracts, and combined with their lobbying records and their investments via Btomorrow Ventures, my confidence in BAT's intentions have been pretty high. When BAT first invested in OGI, they were very clear it was CBD focused. Several months back there was a DEA conference where they revealed that new rules were coming for CBD and synthetic cannabinoids. In the middle of that conference, both CWEB and OGI filed some SEC disclosures on the same day, which I thought indicated a move could be coming. The main one of interest was the Confidential Treatment Order that OGI was finally granted regarding their original BAT investment, even though it had been more than a year. I mean your comment certainly sounded directed at OGI specifically (as well as myself I might add). First of all they aren't raising multiple times their market cap in dilution. That doesn't make sense. Most major corporations are still very hesitant about CBD due to the uncertainty in laws and regulations. If you look at SAFE there are a lot of hemp/CBD aspects in there. The hemp industry faces the same banking issues as other cannabis companies. Then you have the Delta 8 stuff. It's particularly prevalent because it's so cheap to chemically alter CBD isolate to create Delta 8. Many hemp producers are only surviving because they shifted to Delta 8. But that's almost certainly going to be banned due to how it's created (synthetically). So that's a reason I am excited for CWEB, who has specifically never touched any intoxicating cannabinoids. They've been very strong and consistent saying that hemp shouldn't be associated with intoxication. If Delta 8 gets banned it's theoretically going to immediately wipe out a lot of their competition.

CWEB would just source their CBD from China then? Not like they don't have a giant multinational corporation backing them that would give them a leg up on internal deals. It's about the brand. Nobody cares where it was grown. CWEB has long talked about Uruguay as a cheap hemp production and import location. China would be no different. I believe the entire LATAM scandal period in 2018 was really about cheap hemp/CBD sourcing in preparation for CBD being legalized at the end of 2018. Kind of explains why nobody built greenhouses down there for their "medical cannabis imports" that many were questioning if they would ever even be allowed.

Now Ceres was a Scooter Braun venture, and after it fell through he went and invested in Germany's Sanity Group along with BAT. Most likely scenario is the CEO will let us know what their plans are soon. But if I was forced to guess, I'd say this is in preparation for the Farm Bill in a few months. Beena had said early this year that the summer may be rough, but they are looking for CBD entry into the US when regulations are clarified at some point. She was correct about the summer. Obviously if you're talking OGI and CBD in the US you would assume they would be buying CWEB. Now CWEB is too small for the size of this prospectus though. I could see them possibly buying CWEB along with Open Book Extracts (BATs other primary cannabinoid investment in the US). If SAFE/uplisting occurs you'd assume they would also exercise CWEB's option to buy the Stanley Brothers THC business. If they did that, the next logical company would be Planet 13, as P13 just bought VidaCann, which has been the Stanley's exclusive partner for years. But most important thing is just to wait for Beena to communicate their plans. I wouldn't be making any major moves based on a prospectus that is valid for 2 years. They could just sit on it forever.

The under-the-radar winner of the Planet 13/VidaCann acquisition are the Stanley Brothers (founders of Charlotte's Web). The Stanley Brother's THC business had an exclusive partnership with VidaCann in Florida. So they have now expanded their brand through Planet 13's network. But expanding their brand isn't all they did. I think the Stanleys just set themselves up to get a nice little payday a few months from now. Remember that the Stanley family are currently usurping the board and re-taking control of CWEB. Back when they split off the CBD/THC businesses, CWEB retained the option to buy the Stanley's THC business in 3 years, or when it became federally legal. So the option kicks in around the beginning of March in 2024. That's why the timing of the Planet 13/VidaCann deal is so interesting. When they released the news about the CWEB CBD/THC split, they explained the terms of the CWEB's option: "The purchase price determination will involve weighted application of 3.5 times revenue and 13.5 times EBITDA multiples to Stanley Brothers USA's financial statements at the relevant time..." I am big into CWEB myself. Farm Bill is coming up and is almost guaranteed to address CBD in some way. Even if they just restrict Delta 8 products that should greatly help CWEB, as they've survived this whole time without touching any intoxicating products. It'll just kill their competition. I also feel that where CWEB is trading relative to cash on hand, even if I don't like what I see from the farm bill, I can exit on a pump, because the farm bill will at least bring CBD into mainstream discussion again. But with just one or two rule changes, CBD suddenly penetrates massive international markets. Barely any rollout/capex required. Skin cream/beauty products, coffee, energy drinks, supplements, wellness beverages, pouches (like tobacco). Not to mention the separation of products into CBD, CBN, CBG, etc.. If it's regulated as a non-intoxicating dietary supplement, it could potentially even be added to already alcoholic beer. The only thing holding back the industry is that the big retailers aren't stocking CBD. Everybody was going nuts for it back in 2019 before the FDA stepped in. I think those necessary CBD laws clarifications are so much more likely to actually occur than any THC changes we're going to get. And CWEB is one of the few CBD companies with legitimate connections (BAT/Kroger/Tilray/InterCure/etc). If the Kroger/Albertsons merge goes through, CWEB's partner basically doubled in size. It should also be noted that CWEB can purchase the Stanley Brother's THC business in early 2014 (probably why they are usurping the board right now). So they already have a THC entrance, and an exclusive partner in Florida with VidaCann. Even if we get retail pharmacy taking control of dispensaries, CWEB also has that covered with Kroger having many pharmacies attached. I also think the separation and monetization of industrial hemp will help the CBD players. I think they're going to push industrial hemp hard too soon, because it's bipartisan issue. Hemp is a fantastic environmental crop. I'm especially intrigued at the potential for hemp biodiesel, as it is an easy to produce diesel that can be substituted in any diesel engine. It's extremely versatile. I think when they flip the advertising switch back on, CBD is going to get super trendy again. And CWEB is not only the most visible brand in CBD, but I think they will play an important role in mainstream acceptance, since they have the best "origin story" in the industry, focusing on children with seizures. They have so much built in brand credibility because of that.

Good short article about Surterra in Florida. Touches on Trulieve and Florida recreational cannabis, and the conflict between hemp growers and medical cannabis growers. But so was Surterra (Ag Commish Nikki Fried was engaged to Surterra founder). An associate of Nikki Fried is a member of The Liaison Group, who lobbies for Boehner's advocacy group National Cannabis Roundtable (Trulieve on leadership). A lesser known influence on Florida cannabis laws was Charlotte's Web. The early low-THC cannabis law in Florida was actually referred to as Charlotte's Web Law. This is a similar law that is now being hyped by Trulieve as their entrance to Georgia. CWEB is obviously connected to BAT, and The Stanley Brothers of CWEB still operate in Florida via an exclusive VidaCann partnership. Surterra is most associated with the Wrigley family, but also with Scooter Braun's SPAC failed merger (Ceres Acquisition Corp.). Scooter Braun would soon after become a co-investor in Germany's Sanity Group with BAT. The Paxhia family (Poseidon/PAX/JUUL/Aphria/etc) were part of Scooter Braun's SPAC. Surterra is also associated with BAT via TerrAscend's connections to Acreage, which is Boehner's company. TerrAscend's CEO Ziad Ghanem came directly from Surterra. TerrAscend also recently appointed Karim Bouaziz as a President of Northeast. Revenue was expected to fall. Their cash position and reasonable cash burn are the positives, as we wait for CBD regulations to come into focus with the Farm Bill. They stand to benefit from US, Israel, and EU changed in CBD laws, all of which I think have much greater potential to actual occur soon, when compared with potential THC law changes. CWEB is in the middle of a board takeover by the founders. I haven't gotten a chance to listen to the call yet, but I didn't expect them to say much. Did they mention anything about the Stanleys' takeover of the company on the call?

That's the entire CBD industry right now, which is why I've said the play is surrounding the Farm Bill later this year. CWEB still has pretty low cash burn, a very strong cash position, and some of the best partnerships in the industry (BAT, Tilray, Kroger). If CBD takes a step forward, they appear to be the safest pick to capitalize on that market. My plan is to aggressively monitor CBD regulation progress. If I don't like what I see, I feel like I will have an opportunity to exit CWEB on a pump when the Farm Bill brings CBD back into mainstream conversation. I am bullish on CBD long-term though, so I am hoping that I can keep my very low CWEB cost-basis for many many years.

Otherwise you're just trying to distract. I have a $0.23 average on CWEB with at least 3x the money I have invested in any other cannabis stock. Would you like to discuss that investment? OGI (and CWEB) would be the clear #1 imo (invested in both, so I am biased). But BAT was very specific that CBD was the focus on their OGI investment, and there are conditions in the CWEB investment that make it more appealing if the FDA no longer forbids CBD in dietary supplements. Beena from OGI said earlier this year they were looking at CBD companies as a US entry once laws are clarified. I assume she meant CWEB. Add to that CWEB's option to purchase the Stanley Brother's THC business, and CWEB's longtime Kroger partnership. A very underrated aspect of this is that Kroger (and Albertsons) have a ton of pharmacies. So when/if rescheduling occurs and if pharmacies are able to sell medical cannabis, CWEB/OGI are one of the few companies that have a very clear pharma distribution partner. So I think they have a pretty clear path from US CBD to US THC, whenever that becomes an option. Obviously Altria/Cronos are a major factor pushing for CBD, so I assume they have significant plans. It's just harder to predict if Cronos themselves will benefit, given the rumors around a possible sale. Altria would certainly benefit. I think Tilray would actually benefit a ton, but because I am of the opinion CBD makes way more sense for alcohol right now than THC. You can't add THC to SweetWater because you mess up your national distribution, but I think their brands are perfect for CBD. I don't see CBD only affecting their alcohol business though, as they have a partnership with CWEB for other Canadian CBD products. And if Germany/EU follows the US in loosening CBD laws, I think that's actually the biggest short-term EU play. Selling CBD wellness products through their pharmacies in Germany could really synergize well for Tilray. I'm pretty sure the hemp/CBD market in the EU is already projected to keep growing at a decent rate. If the US makes a move and big money starts pushing CBD as trendy again, I think it could take off even more. For Canopy, CBD might be the only thing that can save them, short of drastic US legalization movement or a buyout. I don't see how they correct the BioSteel ship otherwise. For MSOs idk who would benefit the most. Maybe GTI because of their CANN partnership? Curaleaf seems to be focused on CBD a decent bit as well (member of Hemp Roundtable). The EU potential for CBD could explain why Curaleaf has been hyping up the EU even though they don't seem to actually be set up that well to take advantage of THC properly there. Hard to tell with MSOs. Could go a lot of different ways.

They were just asking why they aren't utilizing excess greenhouse capacity to produce more hemp for CBD. Miracle Gro has to have something brewing. They just added a Miami private equity guy to their board, which seems like an odd fit. Then I also see RIV Capital showing small signs of life. Miracle Gro basically runs RIV Capital via Hawthorne. RIV has been connected to Canopy since it was Canopy Rivers. Jason Wild recently tried to take over RIV but was rebuffed. They still have a board member representing TerrAscend though, with Richard Mavrinac. Then there is Joseph Mimram, the chairman of RIV. He seems mostly connected to the fashion world, but his primary company is the fashion company Pink Tartan. The co-founder of Pink Tartan is Canadian cannabis pioneer Lorne Gertner. Lorne was also was an original founder of Cronos Group Lorne was also an original founder of Canopy's Tokyo Smoke. Lorne is also on the board of GoodCap Wellness, where he joined with Ted Chung (Canopy/Snoop), and Steve Sadoff who has connections to AB InBev/Novartis (Tilray past partners), Bacardi (Tilray/CWEB execs), and Jamieson Labs (Aphria) in his bio. Not a prediction, but Cronos getting out of US CBD recently and Canopy's restructuring would make either of them viable targets for a company like Miracle Gro, who currently aren't even touching CBD in the US, but who have a very clear interest in the sector.

"Almost certainly going to zero" And you completely lost me. They have zero debt and $75M in cash. You can think their stock price might never do anything fantastic, but "certainly going to zero" is not a solid prediction in my mind. Absolute worst case scenario is they are bought out at a crappy market cap. But BAT would have to sign off on that. Seeing as how BAT just approved their investments in Phylos and GreenTank, as well as BAT recently putting $10M into the CWEB joint venture, makes me pretty confident long term.

Why does this say anything at all about BAT's intentions? I think the recent investments in Phylo, GreenTank, and CWEB's joint venture show BAT is still very serious about their investments. They don't need to make an announcement on the day of earnings to still be planning moves in the sector. I would expect they'd make a move prior to the Farm Bill actually passing (to avoid hype), but that's still several months.

Bad results with margins getting crushed, but still $75M cash and the two words I love to hear. Negligible debt. Took an impairment, so net loss more like -23M. They invested like $11M in Phylos/GreenTank this Q, so it doesn't seem like they are desperate to cost-cut or anything. The other note that is nice to read in a financial release is "capital position is healthy and that there is sufficient liquidity available for the near to medium term." Still just primarily waiting for them to "survive" the Canadian bankruptcies w/ their cash/debt situation. OGI claims everybody is dumping "30% THC" flower, which are being mislabeled as such to increase sales. Regardless they'll need to coarse correct a bit to fix their margins. It's good that it's a market issue and not an operational issue with OGI causing margin crush though. Still expecting them to make a US entry involving CWEB somehow, but that will not happen until something is clarified with CBD laws. Their note on the US market: "In addition to its recent investment in U.S. domiciled Phylos, the Company continues to monitor and develop a potential U.S. entry strategy that could include THC, CBD and other minor cannabinoids"
