In an all stock transaction, think the warrants are assumed by the new company, and would become warrants to buy one share of PRTC. Looks like PRTC has been roughly averaging $30 per share for the past few months. So if the offer is 21 cents worth of PRTC stock for each GLS share, then roughly 143 GLS shares would exchange for one PRTC share. That means it would take about 143 GLS.WS plus $1642 to exercise for one PRTC. So yeah, essentially worthless. Here's the [warrant agreement](https://www.sec.gov/Archives/edgar/data/1805087/000110465920082084/tm2011667d11_ex4-1.htm), Section 4.4 would apply, think that is correct.

Gelesis makes "Plenity", [prescription weight loss pills](https://www.myplenity.com/) that cost $100 a month. "Plenity is a non-systemic, superabsorbent hydrogel built from modified cellulose and citric acid. Patients take three Plenity capsules with 16 oz. of water 20 minutes before lunch and dinner. Plenity absorbs water and expands in the stomach but does not enter the bloodstream. " According to Gelesis latest earnings release: "Company has filed with FDA to **make Plenity available to Over the Counter (OTC)**, which should significantly broaden consumer access and reduce the cost to reach new members" Gelesis had 73,325,022 shares issued and outstanding at December 31, 2022, so the offer is about $15.4 million for the company, unless they have issued more stock since. When the deal with [Capstar Special Purpose Acquisition Corp](https://www.businesswire.com/news/home/20210719005350/en/) was announced in July 2021, it had a "Pro forma implied market value of approximately $1.3 billion and enterprise value of approximately $1.0 billion." So PureTech could be getting Gelesis for less than $20 million, ***and*** be able to sell Plenity over the counter by the end of the year. GLS.WS warrants were [delisted by the NYSE in January](https://www.businesswire.com/news/home/20230104005950/en/NYSE-to-Suspend-Trading-Immediately-in-Warrants-of-Gelesis-Holdings-Inc.-GLS-WS-and-Commence-Delisting-Proceedings), it doesn't appear that they are trading on the OTC Pink sheets, so they seem to be halted still. However the offer is for an all stock transaction so no Black-Scholes value would apply.

I owe timeshare people 22k and I literally just wrecked my wife's Mercedes GLS450 two days ago. Fun story on that, I ran it through the car wash and the dryer blew off the plastic wiper cover. I jumped out, while moving and in neutral, to grab it. By the time I found it and turned around, it was at the end of the belt. For some reason, it ends with a big down slope, so the car rolled into a bollard and smashed the hood and front grille ![img](emote|t5_2th52|19738) I was only turned around for about 10 seconds... Reversals are allowed more often than not these days. They don't have to spell it out in an 8-k like SLCR did. Some even release redemption numbers before business closing so that people pump it before closing to get dumped on by arbs (eg GLS).
