It is important to note that the huge increase in short interest % is due to a decrease in the supposed free-float rather than an increase in raw short interest numbers. Lets look deeper at this: Insiders and institutional investors recently filed [beneficial ownership](https://www.sec.gov/Archives/edgar/data/1770593/000119380523000487/e618452_sc13da-offerpad.htm) reports for about 160,742,959 shares underlying the pre-funded warrants purchased in a [January 31 private placement](https://www.sec.gov/Archives/edgar/data/1825024/000119312523021670/d450831d8k.htm). These warrants will convert into new Class A OPAD shares and shares outstanding will increase as a result. Once all the warrants are exercised, shares outstanding will increase from the 232,571,810 shares outstanding reported on February 21 to around 393 million. This is actually stated on the beneficial ownership reports which states for the percentage ownership calculation: *(1) Based on (i) 232,571,810 shares of Common Stock outstanding as of February 21, 2023, reported in the Issuer’s Annual Report on Form 10-K for the year ended December 31, 2022, plus (ii) 44,195,302 shares of Common Stock issued upon exercise by Roberto Sella of 44,195,302 Pre-Funded Warrants sold by the Issuer on January 31, 2023, plus (iii) 116,547,657 shares of Common Stock issuable upon exercise of 116,547,657 Pre-Funded Warrants sold by the Issuer on January 31, 2023.* S3 seems to be considering these beneficial ownership reports to be open market purchases by insiders and institutions and subtracting these shares from the free float. Essentially they think insiders have removed all these shares from the freely traded float rather than purchasing pre-funded warrants that will convert into newly issued shares (i.e. won't effect the existing free float). The short interest % number is clearly wrong. Buyer beware on this one.

OPAD turns over inventory quite fast. I believe their time from acquisition to sale is less than 100 days and only 2% of inventory is aged over 180 days (although I'd expect that to increase in a prolonged real estate bear market). Despite the high inventory turn over OPAD still had $1.3B of home inventory on the books at the end of Q2 and around 200M in cash. They had debt of around 1.13B which is collateralized against their house inventory. In their own words: *"Our business model requires significant capital to purchase inventory homes. Inventory financing is a key enabler to our growth and we rely on our non-recourse asset-backed financing facilities, which consist of senior and mezzanine secured credit facilities to finance our home purchases."* If the housing market crashes OPAD's growth would be heavily curtailed as they would not be able to borrow additional money against inventory to acquire new houses. In a severe crash (20% or more) total debt would exceed the inventory it is collateralized against which would be an extremely dangerous situation to be in.

I've seen a few people asking if iBuyers OPEN and OPAD are good buys at current levels. I thought I'd add a bearish perspective. [According to this article](https://www.mikedp.com/articles/2022/9/19/opendoor-selling-its-homes-for-a-loss), Opendoor is now, on average, losing money on each home they sell for the first time in the companies history. Recall that when this happened to Zillow, they exited the iBuying market completely. Based on a 5% buy-to-sale premium in July, 0% in August, and -2% in September I calculate gross margins for OPEN of just 2% in Q3 (weighting July slightly higher since it would be a higher volume month). This would translate into a *negative* *1-2%* contribution margin after interest and direct selling costs compared to +9.3% in the previous quarter and +7% in Q3 2021. IMO Q3 earnings could be a train-wreck - they are likely to have zero YoY growth (they are guiding to $2.2B - $2.6B revenue vs $2.3B last Q3) and take huge losses both due to inventory write downs and negative margins on the homes they do sell. OPAD is probably in a similar boat - they have less corporate overhead than OPEN but operate at similar gross margins. IMO there's still a lot of pain to come for both OPEN and OPAD as interest rates continue to rise (both companies have a large amount of variable rate debt) and house prices fall further. Historically [more than half of these companies gross margins](https://www.mikedp.com/articles/2021/9/7/ibuyer-profits-at-risk-with-falling-home-price-appreciation) have been contributed by house price appreciation and even with unsustainably high 15-20% YoY house price increases they have barely been profitable. This is simply not a good business model. What happens when house prices appreciation drops from 20% YoY to the long term average of 6%? What happens if there is a housing crash like 2008? Both companies are highly leveraged and a 25% drop in house prices would see debt exceed the value of house inventories + cash on hand which would open them up to a capital crunch and curtail future growth prospects (they need to be able to borrow against the value of their home inventory in order to grow). High leverage plus thin margins is a recipe for disaster if the market crashes.

I’m trying to pick solid companies that I think will exist 2-3 years from now or are solid buyout candidates. Small caps are getting annihilated. I stopped buying warrants and I’m sticking with shares for Snax and OPAD which I recently started positions in. I’m starting with literally 100 share buys to sate my desire to get back into more plays(1/3 of account cash after selling DMS warrants). Starting with 1-2% of position size just leaves a lot of room to average down in times such as these. Companies that are bigger I’ve got CSP to buy shares (DNA) which doesn’t require much capital to sit on and it helps bake in price drops when my starting price is $2 + the premium I’m collecting.

Overall I am very bearish on iBuyers - they are highly leveraged and vulnerable to a sharp drop in real estate prices & most have only just managed to hit breakeven on an adj. EBITDA basis and that's during a period of rampant price growth of 15-20% YoY vs the long term average of around 6%.

Right... uh, hi everyone, my name is LaughAdventureGame and, well this is my story: I started tracking DFV back in December 2020, right after I had actively started my investing journey. I figured, there is no way that GME could pop more than it had at that point, the company was old and dying. January comes and I start doing my research, was surprised by what I saw, the fundamentals were still solid and the market cap was pitiful. I put in like 5k. That 5k explodes, so I literally sell everything and go all in on GME. We're talking entire portfolio liquidation. I held back my savings account, but all my play money was in. GME proceeds to skyrocket and boy did I feel like a god in those few days. The last two weeks of January I spent day trading GME. It was so easy because i knew it would always go up, so every drop was a buying opportunity and every fast peak was an easy sell. I traded almost 10m worth of shares in those weeks. I was bragging about making more each day than I was in a year. And then, the fire nation attacked. Completely destroyed my portfolio. GME had never gone down so my ignorance in day trading exacerbated my failure. Pulled out around break even but the damage to my psyche was done. I fell into options and that was the true end. It was the only way I could experience GME gains without GME around anymore. I would option yolo on everything, I didn't care about anything but reaching that unreachable high. That pure euphoric bliss of being rich. I stopped trading for a while after the OPAD phase in September of 21. I spent a few months figuring out why I sucked at every trade. I felt worthless and moronic, but I'm a relatively successful and smart guy, so how could both sides be true? I set out to prove to myself that I could do this. I created a strategy, back tested and saw it was actually pretty solid. Fine tuned it with a paper account and holy shit it was fucking brilliant. It took me six months of watching this rule based, bitch ass, paper trading account beat my ass day in and day out for me to finally give up and follow it. I recently went live, on my birthday in June, so poetic. I don't see the GME returns, or the yolo options that pop overnight by 1700%, and I never will again. I accept that. But I'm winning now..... I'm finally fucking winning.

Based on the share price of just about every company in the market, I'd say everyone has concerns about just about every company right now. What you mightwant to take notice of is that OPAD and OPEN are showing signs of being at a bottom while the rest of the market continues to sell. However, disregarding all that, because the company is not the stock, if Opendoor were mispricing their houses on any sort of significant scale, it would show up in their earnings and times from purchase to sale. Their times from purchase to sale are <90 days and their earnings have been great; they just posted their first profitable quarter. They've been improving on nearly every metric each quarter and consistently outperforming guidance and analyst expectations. If you have concerns and are interested, do some research and see if your concerns are justified at scale. Not interested? Then why comment on your concerns and give other people concerns that are potentially unsubstantiated by evidence?

This whole setup is a design defect in the system that was never fixed. The optionability and much of the short interest carried over from SST’s time as a SPAC before the de-SPAC process merged it with the private company. On the old SPAC ticker there was a much larger float of 20M+, but the high level of cash redemptions on the SPAC shares reduced the float all the way down to 700k. Meanwhile the optionability was never removed to accommodate for the lower float. Very high redemptions of SPAC shares was not a scenario that was anticipated and planned for. One would have thought there would have been a fix after IRNT, OPAD, SPIR, etc. last fall, but apparently there wasn’t and here we get to exploit the same setup as IRNT with even more favorable conditions.

SST setup is still present. The most-similar play to it was IRNT last September followed by some other high-redemption de-SPACs in October (OPAD, SPIR, etc.). ISPO also had a similar setup earlier this year and squeezed hard before returning back to normal levels. There really isn’t another play like this lined up as well as SST at the moment. You will have to wait on other de-SPACs and redemption numbers for another one of these.

Poster is indicating there are no shares available to short at interactive brokers which is true at the moment. This is a high-redemption De-SPAC. These can be great short-term plays (see IRNT, OPAD, SPIR, etc. last Fall). What happens is that the SPAC trades prior to the merger and accumulates some percentage of shorts. Once the SPAC merges, the SPAC investors have the opportunity to redeem their shares for cash instead of holding shares in the merged company. Only the shares not redeemed in the SPAC transfer over to become the float of the merger company until an S-1 is filed and the rest of the shares (PIPEs, insiders, etc.) unlock. In the meantime the shorts on the SPAC shares also transfer over and become short the shares of the merged company. When a high redemption occurs, then instead of say for example having a 50M float if the entire SPAC transferred, you may get 90% of the shares redeemed which would leave a 5M in the meantime if 5M shares were sold short in the SPAC, then there would be 100% short interest in the merged company until the S-1 unlocks all the additional shares. On SST there were over 1M shares sold short of the SPAC, but the redemptions were so high (probably because the market sucked so hard at the time) that the float that transferred over was only about 700k. Locked shares cannot be lended out because they cannot be freely traded so the float alone is about 700k, but probably a bit higher if you include synthetic shares. In the meantime the MMs set up weekly options on the stock thinking that it’s SPAC merger would go as planned with a decent redemption. If you look at the options chain for next week there is 3-4x the float already in-the-money. This is the basic structure for why these de-SPACs squeeze so hard. There isn’t any ammo to legally short, the MMs have to choose between hedging or getting smoked on call options, and the float is so small that it’s easy to multiply the stock price several times over with minimal funds/buying pressure. If the stock multiplies enough times, then the smaller shorts will get margin called and will have to buy which forces the price up even more. Altogether these are great plays, but the party usually ends as soon as more shares unlock. I’m in SST, but won’t be hanging in any longer than 3 weeks.
