NYSE has stricter standards than NASDAQ. SCVX had $34 million in their trust account after redemptions at the January 25 shareholder meeting. "[On March 4, 2022, SCVX Corp](https://www.sec.gov/Archives/edgar/data/1794717/000121390022010826/ea156536-8k_scvxcorp.htm). (the “Company”) received notice from the New York Stock Exchange (“NYSE”) that it will be delisted following market close on Tuesday, March 8, 2022, in accordance with NYSE’s continued listing standard under Rule 802.01 of NYSE’s Listed Company Manual, which requires acquisition companies to have an average aggregate global market capitalization of at least $50,000,000 and an **average aggregate global market capitalization of $40,000,000 attributable to publicly-held shares**, in each case over 30 consecutive trading days." SVCX tried to move their listing to a lower tier of the NYSE ( NYSE American ), but did not meet the standards for NYSE American, either. If PIAI is not able to stay on the NYSE, PIAI *might* be able to move to NASDAQ, if not they would likely have to go to OTCBB.

I'm not sure what to say about SCVX. I saw this: [https://news.spacconference.com/2022/04/01/after-nyse-delisting-scvx-terminates-loi-with-unnamed-target/](https://news.spacconference.com/2022/04/01/after-nyse-delisting-scvx-terminates-loi-with-unnamed-target/) And assumed that meant it was gone. But it's apparently tradeable for me in Fidelity (not sure what fees I might incur if it's a 'delisted' stock). Regarding they won't add to trust, I think it depends on what they put in the initial filings/prospectus. Some of them I think need to contribute to extend. Regarding basket approach, I agree. I think I'm in \~30+ pre-DA warrants, 20-25 post-DA + de-SPAC. There's very little I can think of that would get me to put a significant chunk of my portfolio into any one warrant at this time.

>Could a lot of the SPACs that opt for an extension and have mass redemptions at the extension vote, could they end up getting delisted how we saw with SCVX? If they have mass redemptions, yes, depending on the trust size. NASDAQ and the NYSE have minimum standards for how large the trust must be; looks like NYSE is higher than NASDAQ. ALTU is on NASDAQ and has $300 million in the trust, so they could have 80% - 90% redemptions and likely still meet listing requirements. And they could always announce a contribution to the trust before the vote is held, which usually holds down redemptions. ALTU was rumored to be talking with [Aerion Corp](https://www.bloombergquint.com/onweb/boeing-backed-aerion-is-said-in-talks-for-altitude-spac-listing) in early 2021 and [Getaround](https://skift.com/2021/08/25/travel-hungry-spac-altitude-in-talks-to-take-softbank-backed-car-sharer-getaround-public/) in August 2021. Now they disclose in their preliminary proxy that they signed a non-binding letter of intent on March 1; no way to know if it is Getaround or a new target. ALAC's problem was they were 36 months past the IPO date, which is a different listing requirement for blank check companies.

r/SPACsSee Comment

Yeh I have no idea why the f you wouldn’t disclose that previously, I hope they announce before the extension. Have some warrants, not sure what to do here, been absolutely destroyed on most of them, now I’m worried even if they get a DA and are able to extend, could mass redemptions end up them running into delisting issues like SCVX and others? This shit is a nightmare now for the SPACs that need an extension vote

Agreed, *so far* there haven't been that many liquidations. Remains to be seen how that will progress in the next 18 months. ACEV was one of the definitive agreements that was terminated, now they are voting on the Tempo deal on May 5. And Spring Valley (SV) terminated the deal with AeroFarms, now it looks like the new deal with NuScale will probably be approved and close in the next two weeks. Yunhong (ZGYH) was the only one liquidated in 2021, and so far Burgundy Technology (BTAQ) is the only one for 2022, although CHP Merger Corp (CHPM) will probably Liquidate on April 25 and Alberton Acquisition (ALAC) may liquidate on April 26. SCVX is on life support ( and the Pink Sheets ) and looks like it may be forced to liquidate as well.

SPAC extension votes ***always*** pass. That is not the issue. The issue is redemptions get opened up with an extension vote. And it is pretty easy for the entire trust to get redeemed. I have argued with people here about SCVX, but I think every who was optimistic about SCVX now acknowledges that they are truly dead. A single round of redemptions can turn a SPAC into a rarely seen creature with 5 warrants per common.

A major reason any private company agrees to merge with a SPAC is to obtain a major US listing, either NASDAQ or NYSE. Now that SCVX doesn't have the major listing, it is much less likely that a company would want to merge with them. Whoever signed the non-binding LOI might be more likely to change their mind, and the end of Q1 deadline may have less chance of being met. So the point is not to be surprised if the end of Q1 arrives without any news from SCVX. Hopefully SCVX can pull a rabbit out of the hat for the SCVX.WS holders, though, even if it isn't in the next 3 days.

Extensions almost always happen. The problem is that some SPACs try to extend without the sponsor chipping in additional money, and those SPACs promptly get redeemed to hell. Something like SCVX got hit with so much redemptions that it can’t even maintain a listing, so if you had warrants in it, it is basically the difference between going to zero fast or going to zero slowly.

This appears to be happening because of the heavy redemptions in January. $192,552,554 million worth of SCVX shares were redeemed in [the extension vote on January 25, 2022](https://www.sec.gov/Archives/edgar/data/1794717/000121390022003986/ea154517-8k_scvxcorp.htm); leaving about $38 million in the trust. The 8-K says: "On March 4, 2022, SCVX Corp. (the “Company”) received notice from the New York Stock Exchange (“NYSE”) that it will be delisted following market close on Tuesday, March 8, 2022, in accordance with NYSE’s continued listing standard under Rule 802.01 of NYSE’s Listed Company Manual, which **requires acquisition companies to have an average aggregate global market capitalization of at least $50,000,000 and an average aggregate global market capitalization of $40,000,000 attributable to publicly-held shares**, in each case over 30 consecutive trading days." SCVX announced a [non-binding letter of intent](https://www.businesswire.com/news/home/20220119006039/en/SCVX-Signs-Letter-of-Intent-for-a-Business-Combination) on January 20, 2022. "SCVX expects to announce additional details regarding the proposed business combination when a definitive agreement is executed, which is expected later in Q1’2022 and with a closing anticipated in Q3’2022." No idea what the NASDAQ listing requirements are, or if SCVX can meet them. Even if they can, seems likely SCVX and SCVX will have to trade on the OTCBB for a while. The NYSE American [certified their shares for listing on March 3](https://www.sec.gov/Archives/edgar/data/1794717/000087666122000221/SCVX030322.pdf), then reversed that. So SCVX has to scramble now.

Saying that I’ve a lot of money tied up in some lotto ones like OCA, SCVX, ALTU, ETAC but I just don’t see any demand for these and a lot of these will be forced to settle for shitty deals which will result in no pop (god forbid no liquidations on the ones we are holding lol). So I just don’t see the appeal, I’m continuously having to talk myself out of buying in at these levels but give in once in a while I was looking at TACA yesterday and can’t believe the price today, crazy! I’m not sure in what capacity he’s involved but this spac has Brent Saunders associated with it I believe, I can’t see that guy having his name attached to a SPAC which liquidated but who knows. 1% of trust per quarter is normal, so 30 days for $1.5 mil (0.33% of trust) is actually just the going rate. That said, if the sponsors wants to extend without paying for it, they can by calling a vote and opening up redemptions. I think the bigger issue would be the deferred underwriter's fee from the IPO of the SPAC itself, at 3.5% of the initial trust should a merger take place. About $8 million or so. That underwriter fee is now more valuable than all outstanding SCVX warrants, to put things into somewhat of a perspective.

Mentions:#SCVX

They have been consistently below nav, they are voting to extend without ANY sweeteners, so I fully expect redemptions to the point where the trust is de facto liquidated. Who will want a deal with a SPAC with $10 mil in the trust and the warrant/sponsor/underwriter overhang of a $240 million SPAC? Just the deferred underwriter fees will be higher than the remaining trust when the dust settles on that one. Merge with SCVX, guarantee zero proceeds from the SPAC.

The sponsor, SCVX USA LLC, invested $6.6M in risk capital at the IPO. They will lose this entire investment if liquidated. The problem is they are going to have a large % of the trust redeemed if they choose to extend, which makes it even more difficult to consummate a business transaction. They will need to offer heavy sweeteners to large holders (arbs) to not redeem.

My account to a gigantic shit today. Down over 3.5%. Amazingly I’m still up on my OCA warrants. Oh and I’m up on my ballsy SCVX warrant buy this morning! 😂

I see their current deadline (as per SPAC Track) is Jan. 24, 2022 and the news release from this morning indicates they are considering "extending its current dissolution deadline of January 28, 2022 and pursuing another business combination." I know business terminations are fairly rare and dissolving a SPAC is almost unheard of (I've only heard of one over the last year and it didn't have any reputable backers). What's everyone's thoughts on the likelihood the deadline will get extended and a new target can be found (maybe even in Cybersecurity as was their original intent)? Since the original filing (back in May I believe) to take Bright Machines public, I don't believe SCVX filed any subsequent paperwork to meaningfully advance the business combination. I'm curious if they've been aware of the inability to consummate this merger for some time and have been looking at other options behind the scenes... At any rate, bummed to see my warrants diving off the deep today.

SCVX warrants were at $0.25 in PM (recovered a bit now). What a shit show. People had high expectations from this team before the DA.

Ouch, unfortunately I've more SCVX warrants than I have IMPX. Hopefully a big pop in the latter will negate the former slightly

If I taught you that it would drive up my entry price…😂 But some stuff I like still near split floor is VELOW (cancelled DA so being oversold, but good team so should be able to pivot), LEGAW (it never seems to escape low .70s unlike most of the other 1/4 unit splits), OEPWW (good team with 1/3 split trading in the .50s/low .60s). If you want a post DA, I like SCVX/Bright Machines, which has over $200m in PIPE and have already filed their paperwork so is unlikely to be called off and still trades in low .80s. Hopefully merger date announced relatively soon and we'll get a ramp up. Do your DD and don't buy just because a dude on Reddit suggested it.

Pretty funny to see all the institutional ownership now of SPAC commons below NAV with the new 13F’s: CONX - 81% CRHC - 78% PRPB - 84% LFTR - 70% ASZ - 76% ALTU - 74% Even SCVX - 75% They appreciate your donation the past 6 months!

Is it of any material concern when a SPAC with DA files a 10-Q for delay of quarterly filing? referring to SCVX.

I bought 1000 commons to offset SCVX loss, and got out with ~$200 gain when GBPUSD went down few months ago :> Bought back in later, and did same thing, this time for ~$100 gain. Tried to get back in, but it was going rather hard to buy those back at "reasonable" price + GBPUSD is still low. Will wait till DA prolly.

I can speak to pre-DA warrants. I think the best bang for your buck right now is DRAY, VELO and LEGA. DRAY is too good of a team to be stuck in the .60s. 1/3 warrant-in-units. >Gretchen Howard (COO at Robinhood Markets), Claire Johnson (COO at Stripe), Stacy Brown-Philpot (Former CEO of TaskRabbit, Director of HP and Nordstrom) Software, data and TMT (technology, media and telecom) Trust: $250,000,000 Underwriter: B. Riley Securities, Inc. VELO is being way oversold for a 1/3 warrant-in-units split with a good team. It was already cheap even with the BBQGuys DA, but now that it's been cancelled it's the best buying opportunity. At this point there aren't many any good 1/3 WiU teams in the low .60s. > Adrian Covey (Global Managing Director of Growth & Strategy, M&A Lead Accenture), Nicolas Brien (Fmr CEO McCann Worldgroup, CFO of FST), Carla Hendra (CEO Ogilvy Consulting), Ramin Amari (CFO Vice Media, FST) Tech, Digital Services and Platforms Trust: $230,000,000 > >Related: FST, FZT > >Underwriter: Citigroup, Canaccord Genuity LEGA is a 1/4 WiU and traded consistently over 1 for months during the summer and now has stalled out at the bottom of the .70s and got forgotten about. >Mitchell Green (Founder & GP of Lead Edge), Meg Whitman (Former CEO of HP, Former CEO of eBay, Former CEO of Quibi, and Director of Procter & Gamble) Software, Internet, Tech Trust: $300,000,000 Underwriter: Credit Suisse, J.P.Morgan As for post DA warrants, SCVX-WT (Bright Machines) looks like the best opportunity. Strong PIPE (over $200M, including Fidelity and Softbank) means the deal should go through, they've already filed an S-4, and as of yesterday warrants were trading at .79. The company is very interesting, building custom robotic modular assembly "microfactories."

Holding a handful of CPUH warrants waiting for some news and have also been loading up on SCVX and VLTA warrants. SCVX is still a pretty young company but see them going places in a few years as automation of assembly lines and in house parts production becomes more crucial. Especially when you consider logistical savings by not manufacturing and shipping parts overseas and the environmental impact of this. VLTA also has strong potential and is approaching EV charging differently than its competition. Plus with Leo DiCaprio supporting VLTA, my spidey sense is tingling as he's also an early investor in Polestar (GGPI). Might be nothing more than a coincidence or there might be some partnership opportunities there in the future as both Polestar and Volta expand their footprint.

Any thoughts on SCVX warrants at $0.70? S-4 was filed today, 5 months after DA. Bright Machines has revenue but valuation is pretty high.

Alright, so I did some research. Can someone familiar with this industry give some compare/contrast thoughts on this company vs. the $SCVX/Bright Machines SPAC? I dumped $SCVX post-DA because I was fully expecting a cyber security play based upon Hank's incessant tweeting and its looks like BM is a couple years too early to be public. Tempo looks to be a "not ready for primetime"-type company as well, especially with the other M&A stuff baked into this deal.

Dude wtf. I just saw that I got reddit premium and was thinking if I randomly purchased it. Thanks a lot! My indicators involve multiple things: The biggest one is sequel SPAC registering/filing. If a second SPAC is filed, it means a DA is happening in around 70 days. Registering itself is also a good sign, but not as indicative as a filing. Second indicator is high expenses. I have a spreadsheet tracking all the latest expenses and then I average it out (Loss from operations + accrued expenses). My third indicator is a combination of how deep into the deadline the SPAC is and how fast the specific sponsor moves from deal to deal. For example, Gores moves really fast, the avg time from IPO to DA is around 18%. Then there's some additional points to consider as if the CEO mentions that they're close to a deal. For example the CEO of CND was on CNBC in January and said: "We haven't made any announcements but we just got out of all day meetings". A similar situation occured with SCVX. Very high suspicious is another factor to consider; it gave away the CCAC DA (let's see if ERES follows this indicator and announces soon).
