worth sorting out which company you're actually reading before any of that. the registrant is Legacy Helix. it converted from a minnesota to a delaware corporation on 1 september, took Hornbeck in as a wholly owned subsidiary, then renamed itself Hornbeck Offshore Services and picked up the HOS ticker. same CIK thats been filing since it was Cal Dive in 1996. the pro forma exhibit in the 8-K/A calls it a reverse acquisition though, with Legacy Hornbeck the accounting acquirer of Legacy Helix, 45/55 fully diluted. so its Helix's assets that were recognized at fair value, with the excess going to goodwill. one of the pro forma notes is a decrease in depreciation off that fair value adjustment. worth knowing that before you read a margin
