HYAC. 100k block order on the warrants, so someone still loading commons & warrants last few trading days. market-maker suspiciously raised the spread by precisely $1 beforehand. 🤔
HYAC. 200k + 50k block trades @ the ask ($11.31) on commons. Have been tempted to take gains on the warrants, but it keeps showing strength (and has appealing financials & valuation).
HYAC warrants have actually been getting some attention lately, despite being a really boring target (concrete). Commons however I'm guessing will remain flat, because dead money for a while, and potential merger sell-off. I grabbed some warrants in the 0.90s, before someone mentioned the fine-print about redemptions @ 0.50. I'll see where it goes.
It's interesting that they put a note about a 50 cent warrant tender offer in the investor presentation, because [the 8-K filing does not mention it](https://www.sec.gov/Archives/edgar/data/1970509/000110465925098545/tm2528499d1_8k.htm). This 8-K doesn't have a copy of the business combination agreement and other usual forms, so HYAC will likely file another one soon which has those forms. That filing will probably also spell out the tender offer.
that boring concrete SPAC (HYAC) actually has 20%~ ebitda margins, and a reasonable valuation.

Haymaker Acquisition Corp. 4 WT (HYAC-WT) warrant $0.63 - up 59% today with higher volume
HYAC BTMD float really under 100k? Unlikely. But what is it? They got a notice of float too small.
That's a bit of a head scratcher filing. The minimum round lot holder requirement pops up pretty often for exSPACs, but usually not so soon after a vote. The vote was held May 24. HYAC didn't (publicly) release any redemption figures. As of May 24, HYAC had 31,750,000 "Unrestricted Publicly Held Shares" worth $317.5 million. The filing says the SEC letter was received on May 26. Wonder if the SPACs have to report the redemption information to the SEC immediately? Seems odd HYAC received that letter so fast, and CMRA hasn't received one ( or publicly announced they received one ) yet.
HYAC -> BIOT the minimum 400 Round Lot Holder requirement in Listing Rule 5405(a)(3) (the “Round Lot Holder Requirement”) and (b) the minimum $20 million in Market Value of Unrestricted Publicly Held Shares requirement in Listing Rule 5405(b)(3)(B) (the “Market Value of Unrestricted Publicly Held Shares Requirement” and, together with the Round Lot Holder Requirement, the “Exchange Requirements”) and (ii) the Company’s warrants do not qualify for initial listing since the security underlying the warrant, the Company’s Class A common stock, does not qualify. The Notice indicated that the Company’s Class A common stock and warrants will be suspended from Nasdaq on June 6, 2022. Going to be suspended on June 6th. They didnt meet minimum of 400 holders and 2M unrestricted shares (which be 20M market value) Idk what that means but possible low float, didnt even meet minimum nasdaq requirements.
[Biote Debuts as Publicly Traded Company Focused on Transforming Hormone Optimization Industry](https://www.businesswire.com/news/home/20220526005530/en/Biote-Debuts-as-Publicly-Traded-Company-Focused-on-Transforming-Hormone-Optimization-Industry) \- HYAC -> BTMD HYACW -> BTMDW expected on May 27, 2022 HYAC ***might be*** another low float exSPAC. Traded below $9.91 for all of March and April, below $9,98 all of May until NAV floor removed. They didn't include any redemption figures in the SEC filing and there is no "proceeds from the business combination" info in the press release. There were 31,750,000 shares subject to redemption before the meeting. This interesting proposal was approved in the vote on May 24: "[Net Tangible Assets Proposal:](https://www.sec.gov/Archives/edgar/data/1819253/000119312522158681/d264818d8k.htm) T**he stockholders approved the proposal** related to certain provisions contained in the proposed charter, **which will remove requirements** contained in the Company’s amended and restated certificate of incorporation (as amended through the date of the Definitive Proxy Statement, the “current charter”) **that limit the Company’s ability to redeem shares of Class A common stock and consummate an initial business combination if the amount of such redemptions would cause the Company to have less than $5,000,001 in net tangible assets.**" Probably will not know redemption numbers until the "[Super 8-K](https://viewpoint.pwc.com/dt/us/en/pwc/in_depths/2021/domestic_spac_mergers/domesticspacmergers/super8k.html)" is filed, "typically included in the Super 8-K filed within four business days of consummation of the de-SPACing transaction", which would be sometime within the next four business days.
HYAC is not a total turd and since it is not spoken a lot on this sub like APSG it will moon at least once
Anyone know if HYAC was approved during their meeting today?
HYAC -Biote every woman over 45 knows this company, or should know this company. They have a hormone replacement pellet. It’s inserted under the skin every 3 months. If you’ve ever met someone in there late 40s - 50s and think no way. Trust me there getting the pellets. They also so a testosterone pellet for men. Same thing. This company is a game changer for the over 45 crowd.
Was that HYAC deal old news & I just missed it? Noticing the warrants plummeted today.
Just FYI, that HYAC is pretty legit, same bioidenticals have been legal in the EU for over 30 years and well researched-totally safe and great, will extend health and life. New to USA, but not to EU. Interesting that they have a plan to train the folks in addition to administer and market. Small, but legit.
For the night owls: it looks like there is a DA for $HYAC: Hormone Therapy Firm Biote Said to Go Public Via Haymaker SPAC Biote Holdings, a provider of hormone-replacement therapies, is going public through a merger with blank-check company Haymaker Acquisition Corp. III, according to people with knowledge of the matter. The combination of Irving, Texas-based Biote and the special purpose acquisition vehicle will be valued at about $740 million, said the people, asking not to be identified discussing private information. The transaction also includes about $80 million in debt financing from Truist Bank that will meet the minimum cash requirement to close the deal. An announcement could come as soon as Monday, the people said. Representatives for Biote and Haymaker Acquisition III declined to comment.
