I read your post and wonder what your concern is. I reviewed TKOI's latest annual report and found that VDA currently owns 162,900,947 shares, or 54%, of TKOI. According to page F-21 of the annual report, VDA has Warrants at .06, and if exercised, would increase VDA's stake in TKOI to 65%. In my opinion, a warrant conversion would be a good thing. VDA Group is a "beneficial owner" of TKOI and therefore subject to Rule 13d-3(as disclosed in the annual report). Also, Peircarlo Gramaglia is the CEO of both VDA and Telkonet. I do not see any additional share issuance to non-insiders. In fact, on 5/14/23 and 10/15/24, Telkonet cancelled shares-this can be found in "Changes to the Number of Outstanding Shares" in TKOI's latest annual report. Basically, those who control more than 10% of a company and insiders are subject to strict rules when selling shares. Nevertheless, based on TKOI's annual reports since the VDA transaction, I don't observe any change in VDA's ownership stake. In addition to controlling Telkonet, VDA also took at 70% stake in Adria Electronics with an option to purchase the remaining 30%. According to VDA's website: "The VDA-Telkonet Group is the largest global player in the field of EMS and GRMS for the world Hospitality market. The Group defines the future of the sector by focusing on People as a valuable element of smart technologies and by offering the right balance between maximizing comfort and saving energy." It's my assumption, that VDA's investment into Telkonet is to expand into the EMS (Energy Management Systems) space. What I wonder is what is VDA's end game with Telkonet. This is what makes me curious. Full disclosure, I am a shareholder of TKOI. I obtained the above information from Telkonet's latest annual report and Telkonet and VDA's website. I've also found that they maintain a robust social media presence on Instagram and LinkedIn, where they regularly post about their activities. This is not financial advice. Hello, nice to read from you. It's not just that TKOI won't grow if someone buys. It's great that you responded, but your plan won't work. Next week the price will be down again because no one likes this stock. It's completely unknown internationally, believe me. I'm keeping my fingers crossed that you make your way.
