 How did the American People become collateral for the debt instruments known as Federal Reserve Notes? It was given to the Federal Reserve by a corporation called the United States, the very same corporation that created the Federal Reserve. When his Birth Certificate was sent to the Department of Commerce, it was registered and the Government, because it was bankrupt, turned his "real name" into a fiction. His ALL-CAPITAL-LETTERS NAME was registered as a corporation at the Puerto Rico Department of State Corporations (Departamento de Estado - Division de Corporaciones) P.O. BOX 3271, SAN JUAN, PUERTO RICO, 00904-3271, making him liable for taxes. He is now a fiction or artificial person; a non-living, non-breathing "person." It is a "strawman" (Lat. stramineus homo) or "fiction" which government brings all its so-called charges against and NEVER against the real person. Just like "yours," his driver's license now reads JOHN H. SMITH or John H. Smith. When he signs a 1040 Tax Form, he dutifully fills out the form as John H. Smith and then signs his name "under penalty of perjury, " thereby admitting he will be responsible for all the taxes of John H. Smith, a fiction in law, corporation. Look at your drivers license and see who it is issued to. How can government use a form of our name and turn it into a fiction (corporation) without our permission? They can't, we sign our name to all of their forms, which is purely voluntary "permission-in-ignorance." In short, we do it to ourselves! However, for those who wish to control and own this fiction and prohibit government corporations, including the Internal Revenue Service from making so- called charges against it, a remedy is available: to do this by executing a UCC- 1 Financing Statement! John Henry, Smith would simply do what Government and the Internal Revenue Service does not do: File your UCC-1 Financing Statement into the Commercial Registry with the Secretary of State and claim EVERYTHING related to JOHN H. SMITH or any derivative name, corporate fiction; i.e.: the Birth Certificate and Social Security Card and Number. The living, breathing, real person then owns and controls the fictitious entity, including all contracts related to the Birth Certificate and Social Security Number. Thusly, the real John H. Smith, secures all rights, interest and title in the fictitious entity. Now, government and the Internal Revenue Service has to deal with John Henry: Smith but they cannot!, because he is no longer subject to government control.

Further, CNS fails don’t age so there is no mandatory buy-in, but stock dividends FTRs do age and must be bought in within 45 days (rule 15c3-3(d)(3)) unless NYSE grants an indefinite extension, which they may not want to be on the hook for considering the aforementioned DOJ investigation. They can’t just “write it down as a balance sheet loss and call it a day”, that’s not how it works.

I looked at the vertical farming market and liked Aerofarms. With them being located in urban area, getting significant tax break for using old warehousing and being in proximity to their market. Aerofarm would be a good investment only if valued at the right price. However, it was way over valued and the SPAC collapse. WIth respect to APPH, there is a reddit board r/AppHarvest. My biggest issue with them was that they went after tomatoes which is a dog market because of all the imports from Mexico and South America during the off-season and during the regular growing season the US is one of the largest producers. The biggest products are US, Italy and China. To me, they did not choose the correct product; thus I avoided them. I will keep watching but have not pulled the trigger on any of them to date.

It's a great question. I believe for the majority of recent SPAC, the two purposes of the SPAC are (1) to get public so the company can do secondary offerings / convertible notes (2) provide liquidity for existing investors to exit. SPACs are extremely costly because, without a PIPE, they provide negative cash to the target (e.g. transaction costs outweigh the cash proceeds). While providing negative cash, they also heavily dilute the existing shareholders due to the founder promote and warrants like you said. SPACs arguably were an IPO alternative when low redemption rates enable them to delivered cash from trust. But let's face it - nearly none of the recent companies are getting any cash from the SPAC itself at 95-99.5% redemption rates. TREB/SST delivered $7M from a $517M SPAC! And the transaction costs on some of these deals are laughable as well. CND had transaction costs of $102M on a $276M SPAC trust. CHWA/Wag has transaction costs of $20M for a company that hopes to do $50M in unprofitable revenue. So, I think we see more failing companies go the SPAC route so they can raise cash by diluting post-transaction, and also OTC penny stocks like BRLI use it as an uplisting vehicle. Also there's a use case for SPACs as a vehicle to transfer a listing from overseas exchanges to Nasdaq/NYSE as we saw with RICO. And then maybe you also have a few companies where maybe there is actual potential, and they will use public markets offerings and convertibles as alternatives to Series B/C/E.
