Price target is tough at this point w/ the reverse split ratio not determined (& IPO to fund the acquisition of the Asia divisions). Nasdaq decision should be sooner rather than later; application was early Oct. '21. Also, of note is that the r / s will only be executed upon uplist approval (preventing dilution in the case of Nasdaq rejection/delay). Current market cap of 28M compared to \~1.6B yearly revenue & 34M earnings (EBITDA), based on current quarter results, leaves a lot of room for share price growth IMO. EV/Sales [ratio](http://pages.stern.nyu.edu/~adamodar/New_Home_Page/datafile/psdata.html) for the transportation sector is 1.52. Even fully diluted the UNQL ratio is 0.25 (400M MC / 1.6B Sales) implying a 6x (1.52/.25) s/p increase to fall in line with the industry average.

I think you need to look at the positive moves the company has made. It has always been a high revenue company but the fundamentals/balance sheet needed more work as they were previously in the negatives in regards to their gross margins. This is an established company existing in some form for 30 years. For the most part though, it has existed in different parts globally. Everything is now being consolidated and the balance sheets reflect increasing and decent profits for this type of high overhead industry, which is huge in itself. They had some toxic loan problems which led to lots of dilution but that has now been settled/resolved, which is huge. More acquisitions are now on the way with their Asian and Indian operations (which are already profitable btw) being merged. The company has applied to uplist to NASDAQ. EF Hutton (a big investment bank) is spearheading their uplist and gathering the big whales/hedge fund investors that they are seeking for the purpose of the uplist. There is growing momentum here - the type that is needed for an uplist and for big investors to take notice. Yes there is an upcoming RS IF the uplist is successful. If by chance the uplist is unsuccessful, there will be no RS. I get that an RS typically makes retail run for the hills on OTC land but UNQL is not your typical stinky pinky sheet. This is a legit company that compares very favorably to other logistics companies. The market cap is ridiculously low. A RS does not change that. The warrants/preferred shares are unlikely to be exercised as they are to maintain control of the company and prevent hostile takeovers IMO. They are also in the process of uplisting and are not gonna dilute this to oblivion. Too many big names are involved IMO for their intentions to not be legit.

I have a more simplified thought process: UNQL is in a stuffy industry that needs help from new players, especially with the current global economic conditions, supply chain issues, etc. On Friday January 14th, 2022 (my source is Yahoo Finance) they announced 225% net increase in Q2 sales prior versus the year before, 190% increase in Q2 income year over year, and 89% increase in EBITDA versus Q2 vs last year as well. Lastly, unlike the market as a whole (which has been brutual for most of 2022 so far), this stock continues to outperform, currently up 222.50% YTD. The very unconfident market seems to have a high display of confidence in this company, so I hold onto my 7k shares and at this point plan to hold for years

This is how I understand it. And remember every company can have a different setup. You'd have to look into 10K or proxy statements to learn more about the company: Ownership of a company is a combination of *economic* interest and *voting* interest. With economic interest, shareholders benefit from dividends and buybacks. With voting interest, shareholders can influence company future like voting for board of directors, voting for mergers, executive compensation, etc. generally, **common shares** gives shareholders both - economic and voting interest sometimes, companies have dual class structure. For example, common shares could have 1 economic interest + 1 vote, and separate Class A shares with 1 economic interest but 10 votes per share. Companies usually do this so that founders have more influence on the future of the company but equally share the economic interest with the remaining shareholders. (Note: this is not the case with $UNQL) Then there are **preferred share** class which *does not* have voting interest but holders of preferred shares have priority on economic interest. more information here: https://www.investopedia.com/ask/answers/difference-between-preferred-stock-and-common-stock/ Owners of preferred share usually also have the option to convert their preferred shares to common shares, sometimes with a multiplier. In the case of $UNQL, that multiplier is 6,646.47 shares of common stock for every 1 share of Series A or B Preferred Stock. I am not an expert at this but I haven't seen a multiplier that large in my experience. usually 1-to-1 or may be up to 10-to-1. Then, there are **warrants** which works like stocks options but the counterparty is the company. So, if holder wants to exercise their warrants, the company can just "print" new shares for them. In the process, company will raise some money but dilute existing shareholder. In the case of $UNQL, they won't raise a lot of money because each warrant exercise price is only $0.002. For $UNQL it shows market cap of around $31M ( $0.05 x 630M outstanding shares). For most companies this is works because preferred shares, if any, make up a small portion of all shares and warrants are out-of-the money so no big loss for shareholders if exercised. Not so for $UNQL. Their share count can easily be diluted to over 10 billion, giving it a market cap of between $400 million and $500 million. I am new to penny stocks so I don't know if this is common. Its a red flag for me but doesn't necessarily mean something shady going on. I realize this is not the best explanation for 3rd graders, but hope it helps.

...and the scam continues 20 years and more refining the equipment/process and still haven't sold a single shrimp. Nothing new here, just another pump to entice new investors into buying this POS. Need a real penny ticker, try $UNQL....... 10Q just out and they had $189m total revenue with $2m net revenue for this quarter alone.....what a friggin bargain for just 3 cents.......can't wait until they merge in the Hong Kong division.
