I calculate 36c warrants based on a 90 day HV of 130% and 1100 days to expiry (assumes 3 - 4 months for deal to close). I picked up some after hours at an average of 28c. I couldn't get filled enough to make it a really significant amount of money though. I might also be wrong on the calculation although the calculator I use has been bang on for the TLMD and VLTA warrants.

Oh yeah I don't think it's a viable strategy. You'd have to identify buyout targets, do a ton of legal & financial homework, then get lucky. Doing it after announcement would be pretty impossible. VLTA adjusted overnight, there was no chance to buy in. Originally I was purely curious why VLTA warrants were worth anything after the buyout was announced, that's all. Turns out it's because it's a cash offer and this seems to be a relatively standard warrants clause (I checked a few).

If less than 70% of the consideration receivable by the holders of Class A ordinary shares in such a transaction is payable in the form of ordinary shares in the successor entity that is listed for trading on a national securities exchange or is quoted in an established over-the-counter market, or is to be so listed for trading or quoted immediately following such event, and if the registered holder of the warrant properly exercises the warrant within thirty days following public disclosure of such transaction, the warrant exercise price will be reduced as specified in the warrant agreement based on the Black-Scholes value (as defined in the warrant agreement) of the warrant. The purpose of such exercise price reduction is to provide additional value to holders of the warrants when an extraordinary transaction occurs during the exercise period of the warrants pursuant to which the holders of the warrants otherwise do not receive the full potential value of the warrants. The warrant exercise price will not be adjusted for other events." That's from their S-1, if you actually look in the Warrant Agreement I'm sure there's a lot of detail. Key is that it was a cash buyout given that 70% clause.

They got up to an additional $20M in financing with $10M of it conditional on certain milestones for the sale of the business. It sounds like some of the unsecured convertible note holders are pushing for a sale since the additional funding comes from current note holders. As part of the agreement a portion of the convertible notes (which are unsecured) convert to a second-lien security interest in the assets of BOXD (in the event of liquidation or default they will be second in line after the senior term loan). Given these developments it looks like a sale is highly likely at some point although I'm much less bullish than others on what a buyout number might be. They are a financially distressed company quickly running out of cash so I don't think they will get close to Kroger's buyout offer of 400M from back in 2018 (they had big growth prospects back then but revenue has basically flatlined for the last 2 years and they are still losing money). Keep in mind a buyout will involve the assumption of BOXD's 140M of debt. A $1 buyout would be $70M + the assumption of the debt for an implied enterprise value of $210M. I can't see them getting more than that but that's just my thoughts. Warrants could be worth a look if it's a cash buyout since they have the same warrant buyout terms as VLTA. VLTA warrant holders are going to get about 21c on a 86c buyout. BOXD has slightly higher 90 day historical volatility than VLTA with similar time to expiry so at a $1 cash buyout you could be looking at 25-30c for warrants.

It's a cash buyout so warrant holders will get the Black-Scholes value of a capped American call option as calculated by Bloomberg per the [warrant agreement](https://www.sec.gov/Archives/edgar/data/1819584/000121390021046178/ea146705ex4-3_voltainc.htm) using a share price of 86c, an exercise price of $11.50, volatility of 140% (the 90 day Historical Volatility for VLTA ending the day prior to the merger announcement), and approximately three and a half years to expiration. The relevant info is in Section 4.4 "Replacement of Securities upon Reorganization". This works out to be around 21c per warrant and will be paid at the time the merger is consummated. I posted a link to a calculator on the daily thread that you can use to verify the 21c number.

It's a cash buyout so the warrants get paid out at the black scholes value for a Capped American Call option as stated in the warrant agreement. The volatility parameter is the 90-day Historical Volatility which can be quite high for penny stocks like VLTA (in VLTA's case it's 140%). The warrants still have more than three and a half years to expiry so this, combined with the high volatility, still gives the warrants quite a bit of value. I can't find a Capped American Call calculator online but [this one](https://www.hoadley.net/options/trinomialbarrier.aspx) gives a pretty good approximation where the option price is calculated using an up & out barrier option with an $18 barrier and a $6.50 knock out rebate to simulate a $6.50 cap on the value of the warrant (forced redemption feature). Try for yourself using an interest rate of 4%, 1200 days to expiry, an underlying price of $0.86 and an exercise price of $11.50 and you should get 21c which is exactly what the warrants are trading for.

Dcfc is not a bad bet on the future of EV infrastructure rollout, at its current market cap. It's been decimated and probably manipulated...who knows it could go to less than a dollar due to possible further dilution. However, that does not mean the company isn't executing at a reasonable degree given how insane the TAM is for dc fast charging. I just see too much potential and unlike VLTA, which had leadership problems, Tritium is relatively smooth and unchaotic.
