why im playing it is this is the lowest float on the NASDAQ ive ever seen going into some catalysts 1.4m shares outstanding, but 20% (2 owners over 10%) cant sell for 6 months, leaves 1.1m tradeable. Its bullish for FLYX too so if it pops at all JTAI follows mechanically. At 7.5$ the value on JTAI is zero. All hinges on the vote passing though but dont know why people would vote against it.
idk what valuation - it was last year i believe so not first round, they also have 17m in AIIA, and cash so roughly 35m in equivalents they give 12m to FLYX jet assets I believe and get like 4m shares of flyx distributed over outstanding JTAI shares so its like 3FLYX for every 1 JTAI share and you keep your JTAI, you have to be on record holding Friday June 12th and i believe hold through Monday June 15th close to get the FLYX shares. Im not 100% sure on that but believe it works that way (what claude said). estimate their SPCX at 7.5m atm is probably reasonable
Jet AI $JTAI, ~$12m market cap, estimated ~$8m cash backing, 1.4m float (recent reverse stock split). Assuming FLYX merger goes ahead on 11 June and the cash goes with it ($12m net cash working capital condition so will be hitting the ATM before then probs) $JTAI shareholders receive consideration shares in $FLYX and retain their $JTAI shares. What’s leftover in $JTAI is a $5m pre-IPO stake in Space X (to be revalued/ marked to market on IPO), 49.5% ownership interest in $AIIA an AI infra SPAC sponsor (stake currently held on balance sheet at 75% of face value- $17m, crystallising on deal completion), and development interests in various early stage data centre projects. Management has done a great job of screwing over past shareholders and aren’t to be trusted (and there most certainly will be dilution in the short term), but with major near term catalysts of the merger vote and SPCX IPO combined with tiny float, this thing could really rip. At near cash backing, there is minimal downside with 2-3x near term upside. A shitco for sure with questionable management. But an interesting proxy trade for Space X and cheap call option on AI infra with minimal downside
Oh ya they nailed me with a 45% loss on the rs announcement. I averaged down nicely since then. IMO they are suppressing the price until the FLYX shares are issued and then boom. One rs announcement and down almost 50% then most recent 8-k would’ve sent any normal stock to Jupiter, let alone they issue good news nearly every week. I’m not a smart man, but I know what value is.

By my count, let’s assume base case $12m net cash gets 4m FLYX shares, divided amongst 1.4m jet.Ai shares, about 3 FLYX shares per Jet.Ai share I hold, at $3 current share price of Flyx, that’s c. $9 value post merger per jet.ai share. Still pretty good but not quite $22
Big deal. The majority of the stocks being talked about on here daily have reverse split in the past. JTAI has a merger with FLYX pending and the shareholder vote date was just announced for next month. They have a stake in SpaceX and FLYX has a partnership with Starlink. They'll both run at some point. These aren't something I'm planning to hold until retirement.

I bought FLYX last week and it came back good today. That and SATL helped pull me out of the bloodbath.
The current JTAI float is between 600 and 700k. The merger doesn't create new JTAI shares, but new FLYX shares

I’m a little confused about FLYX. The stock has a RSI of 46-51, MACD below the signal line, and pretty low volume. Short interest is only mildly interested and the Float is not that great considering the outstanding shares. So tell me again why this stock is ready to run.

Tbh I don’t know but FLYX went up in the last session. Anyway I think that getting exposure through JTAI merger is way smarter than just getting FLYX. I’m bullish on FLYX bc of the space theme, so I think it will recover from here.

This is not a play on airlines. This is a play on getting 11 per share in FLYX shares + the value of the business. This means that the stock tomorrow has to run towards that target (11 per share + 4 usd of the business) to fully reflect the value of the transaction. It’s free money from current levels, the market is waiting for the proxy that comes out tomorrow in the premarket. I expect JTAI to squeeze tomorrow since it’s a nano float with high CTB once the proxy confirms the net cash is there, since u have until the 8th to receive the FLYX shares.
My best play for Monday is $JTAI. Merger proxy to be filed on Monday PM Session, will show the net cash and if it’s at least 12 M the stock could rally. JTAI has 1.239 M shares outstanding on April 29 as per its latest filing (May 1 26) Net cash = 12 M Consideration in FLYX Shares = 13.8 M Consideration per share 13.8 M / 1.239 M = 11.1 per share Estimated value per share = 11.1 + value of remainder of Jet Ai (which is made of SpaceX Investment (5M) and AI business) ESTIMATE THIS TO BE 4/5 per share at least Target price after proxy comes out = 15 USD per share Since the record date is on May 8, I’m expecting a rally from ppl figuring out the upside is huge if they get the $FLYX shares (which has ties with SpaceX and Starlink). The stock had a huge rally on the hype of the merger on 4/20 in PM session, going up more than 60%, once the deadline was extended it went down, but now here we are and the merger is about to happen. This means the stock has at least 100% potential next week. Always DYOR. Btw CTB is close to 70%

First of first of all, FLYX already owns the aviation part of JTAI. It’s actually a divestiture. I said merger because that’s what broski was referring to it as. But what do I know. First of all.
First of all, $FLYX is acquiring the aviation part of $JTAI. It’s not a merger. The acquisition will be done through stock, so they will have to issue about 4.6 million shares. However, it all depends on the $FLYX stock price — if the price goes above $3, they will issue fewer shares. If the price stays roughly like this, the dilution would only be around 12-15%. It will ultimately depend on the stock price at the time of the acquisition.
The filling breaks down what JTAI shareholders will get, do the maths yourself if you want but I worked it out at around $20 of FLYX shares per JTAI share based on the post reverse split float of 648k. So you tell me if it's priced in ha. The only caution I would give is that if the SEC don't approve that filling on Monday there isn't enough time for the merger to go through before the deadline of the 30th of April so they will have to extend it which will probably cause a pullback.
Yup IMO. I loaded up on JTAI because even the S-4 filing says FLYX is risked to tank after the merger and also IMO JTAI is waaay undervalued to the tits which says to me JTAI will pop and FLYX tank. Seems like a Reddit trap post to me but again my favorite flavor is burnt orange crayola soooo…. I have to get back to the drive thru window before boss sees me on my phone.

Their merger with FLYX is supposed to be completed by the end of the month and they have a SpaceX connection so it has potential.
JTAI, just invested $5m in an SPV for the spacex ipo, also has a deal to finalise with FLYX where each JTAI share will give you upto 6 FLYX shares worth around $2.5 each. But JTAI's market cap is now around $3.5m (significantly less than what they have in cash) and the shares are around $5.6 each...make it make sense??

Theyre working on data center infrastructure in a time when data center spending is cooling off. No one's really using the charter gpt thing they made and they are basically trying to figure out what to do now as a company. But none of that really matters cause as far as I know its supposed to have been bought out by FLYX with a deadline at the end of this month for the merger.
FLYX is attracting attention: revenue growth, margin improvements, Starlink tech integration, director stock buys, and recent patent aplication for Aircraft Schedule Optimization Technology- shows they’re innovating and could get an efficiency edge.

Missed the news this morning, might have sold some if I was watching pre market. I think I am going to continue to buy, anticipating a cancellation of their ATM offering before the FLYX sale.
I shorted FLYX at $3, by the time you get to distribute your portion it will be under $2 and there will be 200 million JTAI shares out, there are 120 million out today, and they’ve been ruthlessly diluting faster than 80 million shares per qtr. If JTAI pumps I will be a seller. Easy money.

This is all really hard for me to understand but based off their shareholders letter a couple days ago "By way of example, if we close the deal with the $12 million minimum positive net working capital requirement, JTAI shareholders would receive, as of January 29^(th), 2026 approximately four million shares of flyExclusive stock at the most recent closing price (which was $3.32 per share on that date). ***That equates to about $13.4 million of value in return for $12 million of assets and working capital, which once transferred will reduce our operating expenses 30%."*** JTAI has 38 million shares outstanding. So at the current valuations I think it would be 1 FLYX share for every 10 JTAX shares. I think? But I am also worried because the deal states that JTAI MUST HAVE at least 12MM cash, the shareholder states they only have 9MM cash.
Wouldn't it be good if the price went down though? The FLYX sale should happen by April at which point we'll return at minimum .2 per JTAI share. SO if JTAI goes to .02 before the sale, and I buy one million JTAI shares at .02, when the sale goes through I will make .2 per JTAI share or $200,000
Once the FLYX sale happens JTAI gets reclassified as a tech stock / data center play and we go to the moon.
I get why some people are worried about $0.02, especially with dilution fears . It’s a real risk. But here’s the thing: even if JTAI trades down that low *before* the aviation sale closes, the all-stock transaction with flyExclusive is structured to give JTAI shareholders **flyExclusive shares valued at roughly $3 each (Based on todays value. FLYX has seemed pretty solid at this $3 price**. Based on the deal terms, **that alone would translate to a minimum of \~$0.20 per JTAI share** — essentially a 10x return from $0.02 — *before even considering JTAI’s AI/data center assets or AIIA SPAC stake*. So $0.02 isn’t a permanent “floor”, nore is it a loss if the sale goes through and FLYX remains at $3. Obviously anything can happen but I am trying to be realistic here based on the data that has been presented to me via ChatGPT.
The penny stocks I’ve seen that never seem to get traction or as much height as people expect are the ones where the dilution really outpaced demand too quickly. Classic example is BURU With JTAI, they have a tight time window to be all systems go for FLYX. They didn’t seem to have much cash. It was easy for shorters to see what they’d have to do and by when. So now the dilution scares away a lot of people (automatic downward pressure on the price). You then have the shorts who are in paradise as volume trickles away. It’s tricky. Any increase in volume could be smacked down with dilution. Makes it hard for a short squeeze or surge to happen if there is a ceiling when they start getting heavy with dilution. GL 🤞
