So yesterday u/redpillbluepill4 said that ACEV corporate emailed him and that the remaining float is 2.2m shares from the trust Now that it traded as TMPO yesterday, a grant total of 200k shares traded moving the price all over the place, with maybe 30k shares moving it 50%. Wide bid/ask spreads all day and options illiquid as shit. Something doesn't really add up here. Really feels like the float is smaller than 2.2m.

I'm not sure exactly what you mean by that. I'm not playing for today's pump, I'm holding long term. Looking at $DNA, $STRC, $SABS, especially $BKSY, in my portfolio. Both BKSY and ACEV warrants were about 0.17 yesterday, BKSY commons $1.70. If TMPO stays above that, warrants should go up. Which means I won't get a better entry in TMPOW than I had in ACEVW the past few weeks.

I think ACEV is going to close as well. They negotiated a new price and updated cash settlement amounts with Advanced Circuits and Whizz. They do need some additional funding to close but I think they will get it. Lots of potential to roll up other companies using a more efficient software framework and the new company will be profitable right away. I think the warrants are undervalued at the moment but you never know what will happen.

Thanks for the ballpark figure on LEAP options. I have \~30 pre-DA warrants currently. I have some like FVTWS and NOACW that I started buying above $1 in early 2021 and have only managed to average down to $0.70-$0.80 I really liked ACEV's first target, and I am OK with their second target, so my entry points there vary from $0.70 in NOV 2020 (pre-DA) to $2 in Jan 2021 (post-first-DA) to $0.08 in early July, overall avg $0.49. Last week I entered OCAXW for $.03, because they didn't yet announce their extension, and I was gambling on it being extended. Didn't get all my orders filled, but it looks like I had the right idea. I also have a couple others below $.20, but not many, because I've been holding for so long on most.

I could sense things getting tighter I bought the post DA pump fall back, as per standard operating procedure, had to ride it out and got out for like a minor gain. Well, here we go again... Maybe. I want you guys to take a look at this one first and tell me what you think. To me, it looks like after redemptions that $ACEV is left with a sub-1M float and is optionable. Here's what I'm seeing in the filings: * Free float: 8.2M shares * Backstop agreement: 3M shares * Redemptions: 4.2M shares (51%) * Shares remaining: Slightly over 900k If this is indeed the case, I believe this would be the lowest float SPAC with options to date. Am I seeing this correctly? If so, this could be a viable play down the road. Taking a look at the options chain, it doesn't look like it's been loaded or received any attention from pump groups or anything like that. Thoughts would be appreciated.

If a SPAC liquidates, it's delisted. Holders of delisted commons get back NAV. Holders of delisted warrants get nothing. It's not exactly like an OTM option, because in my understanding, and option is exerciseable, even if it's out of the money. My recollection is that warrants are not exercisable until well after the DA. (Not sure why you would want to exercise if it is possible) Note that a DA canceled is not the same as liquidation, especially if there's a lot of time left. I have ACEV, which got a second DA, I know there have been others that got a second DA. However, I also had some OCA warrants, they chose to liquidate, I tried keeping a few warrants, got nothing for them.

Yes, think that most SPAC business combinations need to get HSR ( Hart-Scott-Rodino Antitrust Improvements Act ) approval, since all of them are technically mergers. In most cases, that is just a formality, since the SPAC is just a blank shell with no operating business, and therefore not any antitrust issue. In the case of Tempo, it is combining three separate operating businesses, so there could be antitrust concerns. The ACEV [424B3 prospectus](https://www.sec.gov/Archives/edgar/data/1813658/000110465922046896/tm2130093-14_424b3.htm) says: "On October 27, 2021, ACE and Tempo filed the required forms under the HSR Act with respect to the Business Combination with the Antitrust Division and the FTC and requested early termination." But nowhere in the filing does it say the waiting period expired. Often, but not always, the filing will say when the waiting period expired. For example, in the LCAP/MSPR 424B3: "On November 30, 2021, the Company and MSP filed the required forms under the HSR Act with respect to the Business Combination with the Antitrust Division and the FTC and requested early termination. **The related HSR Act waiting period expired on December 30, 2021**." And the APSG/GBTG 424B3: " the expiration or termination of any applicable waiting period under the HSR Act (**which waiting period expired on January 18, 2022**)" Anyway, just found it interesting that in today's filing, ACEV said that antitrust filings were one of the closing conditions that needed to be completed.

The Tempo [definitive agreement press release](https://www.businesswire.com/news/home/20211014005537/en/Tempo-Automation-Inc.-a-Leading-Software-Accelerated-Electronics-Manufacturer-Set-to-Go-Public-Through-Merger-with-ACE-Convergence-Acquisition-Corp) said "The majority of the cash proceeds **will be utilized to complete the acquisitions of Advanced Circuits, and Whizz** concurrently with the closing of the business combination of Tempo with ACE." So now it seems perhaps part of the delay is due to antitrust filings concerning the merger of Tempo, Advanced Circuits, and Whizz.

Latest filing from ACEV is announcing a meeting to extend the merger deadline once again. This time from July 13 to Oct 13. No meeting date that I can see yet but today would have been the last date to own commons in order to take part in the future vote. I've already more than halved my warrants' CB from 1.22 to .57 and ACEVW is currently at 18¢ hmmm I risk the deal falling thru but could be a good opportunity to buy more if there's going to be another 3+ months...

Agreed, *so far* there haven't been that many liquidations. Remains to be seen how that will progress in the next 18 months. ACEV was one of the definitive agreements that was terminated, now they are voting on the Tempo deal on May 5. And Spring Valley (SV) terminated the deal with AeroFarms, now it looks like the new deal with NuScale will probably be approved and close in the next two weeks. Yunhong (ZGYH) was the only one liquidated in 2021, and so far Burgundy Technology (BTAQ) is the only one for 2022, although CHP Merger Corp (CHPM) will probably Liquidate on April 25 and Alberton Acquisition (ALAC) may liquidate on April 26. SCVX is on life support ( and the Pink Sheets ) and looks like it may be forced to liquidate as well.

Yeah gonna go against the grain and say this is why SPACs will have a tough road back. He paints with a broad brush and obviously iNvErSe CrAmEr, but SPACs have had a brutal year and significant damage has been done. 1) Ackman failure 2) PIPE bails and deal call-offs (I personally got burned by ACEV/Achronix) 3) Large trust SPACs taking fucking fooorrreeevvverrrr and then giving you a lottery company 4) Many horrible deals with horrible valuations 5) Slowing DA’s and then no pops on DA’s when they come 6) Many drop 50% when NAV floor disappears It was clear—the CNBC crowd hated them, FinTwit exploited, EconTwit posted charts of intraday drops regularly. The bad sentiment is real. Cramer is a douche, but he’s really just personifying the sentiment.

Valiant effort writing some DD on a SPAC; thanks for that. We don’t get that often now. I am long Starry, but only a portion of what I’m willing to buy because I’m shook a bit by the multiple deal cancelations. Achronix/ACEV burned me in particular. So for something like this, I think you can tell that the price will plummet after merger but I will be a buyer. I like ORGN, IONQ, DNA, PSFE for the long haul. ACEV has DA with Tempo; think that could be a long term winner. NSTB has DA with Apex; I like that long term as well. I don't know anything about this target, but isn't $ACEV the same group that had the Achronix merger called off earlier this year? Tempo could be a dud, but most of the work in a SPAC merger is getting to a DA, so you can't knock the hustle of $ACEV. If I was bagholding one of the endless amount of pre-DA SPACs, an announcement like this would really piss me off.

I think this may be one of the first of these we’ve seen. ACEV and Achronix had what I believed to be a vastly underrated deal. I was big in ACEV then the rug got pulled. This looks to be at first blush a decent deal and target too. Good on the ACEV team. This points to there not being a shortage of companies out there, especially for good mgmt teams.

Ok, so I'm * bagholding AVPT, MVST, and OUST. Am I convinced these are good businesses? I have no idea. I mostly play warrants. The reason why I have been stressing in warrants in this situation is because it looks good right now, but when do you switch back, especially on a play like DCRC which is high risk, high reward? Let's say commons go up 100%. I'm pretty sure warrants would more than double. Let's say commons go up 50%. Would warrants go up more or less than 50%? I think more than 50%. So let's say commons went up 10%. Then you going to try to switch back into warrants at $2.20? That's probably in the noise for warrants. IMO, the only reason for commons over warrants is to reduce risk. Warrants will probably go down 50% if the commons go down 20-30%. Also, Warrants go down if something goes wrong with the deal. (One of my favorites was ACEV/Achronix, that one still stings.) So if you have less overall risk tolerance, or are not as bullish on this particular deal compared to others, then maybe commons make sense. So, I'm not saying warrants over commons, I'm saying I don't understand the 'undervalued' argument.

No, he's 100% right, it's a major factor and likely the main one explaining why you will see these moves on ticker change the day of. Is it stupid? Yes, people are buying at $12 who could have bought for $10. But often their mandate does not allow them to, or they do not want to take the deal risk (TWND, XPOA, ACEV) no matter how small for a deal like this.

Well it seems to be changing daily, but here's the gist: Buy cheap Pre-DA warrants and watch them fluctuate 5-30% over and over for 6 months. But this is considered "safe" in the SPAC world. After DA some will pop 40-100%. But then you get to sit and watch them slowly bleed out for 6 months. And after 6 months, sometimes you even get to see the deal fall through (I.e. ACEV) and you lose everything. If it doesn't, then sometimes there's a pre-merger run up in the last few weeks before. After de-SPAC, the fun may continue for 2-7 days afterwards, just so you get comfortable, and maybe even buy more, but then it tanks. Hard. Then when you double down and buy the dip, and you think a recovery is happening, the PIPE unlocks and they tank again, harder. And then that brings us to *now* in the new meta of SPACs. We're not sure what's going to happen with all of these new de-SPACs. Maybe they will recover after the PIPE dump, but it's yet to be seen. (But then you also get to watch for issuing additional shares, dilution, short attacks, calling of warrants, etc.). SPACs are so much fun!

I think ACEV was a one-off. DA was 6 months ago and the deal had clearly stalled. The only other SPACs that I could potentially see not being able to complete their deals are TPGY, ALAC, SRAC, and a couple of the dodgy Chinese SPACs (ESSC for example although they did recently file their preliminary proxy with the SEC).
