The SEC halted allowing crypto companies from going public via SPAC. The SEC has not stated this explicitly, but they delay feedback to proxy forms for crypto companies and do not approve listing. That’s why the rights are so cheap for BSGA. FPAC CND FTAC VCXB several others all had to terminate crypto mergers due to SEC inability to provide guidance. SEC stance can change but it’s a gigantic risk IMO.

I'm probably jinxing this but if you're feeling ballsy, you could short FPAC option premium for April 2023 and beyond in hopes of a cancellation. I'm able to sell the July $10 puts for $1.55, for example. The outside date is Dec 31, so we should know by then but hopefully they cancel earlier...

Anyone still following CND or FPAC? Went through the recent filings and saw Farley's CNBC interview a couple weeks ago. Wondering if it's finally time to dip back into warrants and maybe options for November, or are these going to go the way of etoro and burn me to a crisp again.
Thanks for the info friend. The only times ive made GOOD money was on despacs with high redemption (IRNT, BKKT, and SST) and idk how long these (SPACS) will keep going so ive made some hefty bets on FAZE. Ill look into FPAC. Thanks again and godspeed guys haha

FYI- FPAC extended the merger deadline to 12/31. At present, they are waiting for the SEC to approve their proxy filing. The PIPE has been removed and both the company and the sponsor are still committed to doing the deal.

After the termination of FTCV/Etoro deal today, I am even more confident of my short position in CND/Circle warrants given the high likelihood of termination by December. Crazy that warrants are still trading above $1 while FPAC/Bullish is at $0.28!

Yeah, I happened to own FPAC-wt before the Bullish announcement and I made my money back and then some. I still own a couple hundred warrants that I should probably get rid of because I think the main selling point with Bullish was how many BTC they owned to back quicker trades or something.
TDA allows margin on SPACs, varying by ticker. FPAC has a 40% maintenance requirement, so $100 of principal, gets you $250 of shares. I also meant that most of the principal in my account is borrowed from other sources (mortgage refi, etc.).
RBAC which is set to merge June 1st, the June 10c has over 10k open interest alone. I'm personally looking at September 10c and possibly 15c lottos, they're still fairly cheap. FPAC, this one doesn't have a date yet, but it might get a decent pop on the crypto aspect.
On the topic of arb opportunities, a lot of relatively advanced post-DA SPACs getting beaten down lately. In addition to BLTS, each of FTCV, FPAC and BRPM (all $10 NAV with options) are down in the low to mid $9.80s, all having been in the low $9.90s a few weeks back.
All the SPACs with a target, with exception of Trump SPACs and low floats, trade 0.00x0.05. CRHC, IMPX, HUGS, FPAC, XPOA, BLTS, CND, etc. it's a lottery ticket for sure, probably 100% loss unless they DA with OnlyFans, which I'm not sure why anyone would think that. I think you are better off just buying commons or ITM calls if you can get a fill close to intrinsic value. Good luck.
Not that too many people care at this point, but FPAC extended again today until July 8 for their merger with Bullish. Previously extended deadline was today.
Yeah that etoro deal was overvalued even in peak market conditions. Same with FPAC
agreed I would much rather buy Robinhood then Etoro at the proposed valuations FPAC could moon depending on how FTX's private rounds go CND, no meat on the bone. Its no surprise all three have stalled due to Crypto Affiliations. They wont move forward until the SEC makes a decision on Crypto

FPAC is trash (DWAC-style “let’s wait to actually make a company with a product until *after* the SPAC deal 🤡), CND fucked over the SPAC, FTCV is dead after HOOD’s post-IPO performance.
Any thoughts on when the mergers of FPAC, CND, FTCV will happen or what's delaying them? Not sure why these crypto/trading related companies haven't been able to announce a merger yet
Last one I hit was FPAC (not counting CRHC which I sold prior to DA on Northvolt pump). Really miss those days, when we’d get 50% pop on DA’s and we were making money. Now I need like 100-200% pop to break even on some of my warrants
Seems like FPAC is waiting from SEC guidance before completing the deal. CPUH who knows but its the one SPAC (warrants) Im still holding from last year. Keeping them as a souvenir of the good old days.
I exited my FPAC Warrants here. Extension to May was a nice pop but May is also a long ways off. Thinking I'll be able to buy back in closer to $1 in April. Also I need someone to track down Tusk and figure out what the fuck is going on with IGAC damn it.
Happened a couple days ago, but anyone annoyed at FPAC? They waited until the morning of March 8 their outside date to extend it. They knew weeks before they couldn’t get vote in time. Why wait so long! I’m also guessing people knew they would since warrants went from $.8 to $1.2-$1.4 2-3 weeks before March 8th. So maybe they wanted to wait until end so friends can get better prices?

Yeah I agree with that. Was reviewing FPAC documents and saw that they were working on the deal for nearly 6 months. So isn’t unheard of. But yes seems like many are oversold, but we will see.

I think FPAC is actually going to get a bump from CND. People who want to invest in a crypto stock but got burned by CND will turn to FPAC (IMO)
FPAC has always said they would adjust the final valuation based on BTC prices.
They are both crypto-related of course but I think it’s illogical to think FPAC would be affected. I don’t think they’ll get the vote in before March 7th, but I also think the PIPE won’t back out regardless given that they all seem to be prior investors of Block One and it’s mostly their massive amount of Bitcoin that’s providing the liquidity for Bullish. Plus, the CEO/CFO of Bullish coming from FPAC’s team, the 3rd filing last week. I think we’ll be OK and I’ll be looking to buy any warrant dips if we see them as a result of CND.
CND didn’t have a single preliminary proxy right? FPAC has had 4 with the latest latest a week ago. Plus CEO and CFO of spac moving to those positions in bullish. So not unconcerned but it seems like way more of a partnership than cnd / circle. And given they clearly want the deal done id imagine they can revise the DA (or just not terminate) if the vote date isn’t slightly outside the window because the SEC is making them do so many revisions. Then again, spacs have a way of surprising us in the worst ways lately.
So now with this happening to CND anyone worried about FPAC still? Has March 7th as outside date… they did get a new filing last week that said things on track and got CFO but not sure they can get vote in before March 7th.
I know I’ve asked this before in the past, but does anyone exclusive focus on trading/scalping NAV spacs? Is it realistic to aim for 6-10% annual return? Examples of what I’ve been doing: Bought SNII at 9.85 last month, sold at 9.99 the other day Bought FPAC at 9.82, waiting to sell at close to NAV. Some people say if you’re going to do this then just buy spy or an index fund, but that strategy doesn’t offer the same risk or downside protection.

IPOD/F and LEAP seem like ones that seem to recover first and have historically spent a lot of time over NAV but are still below $10. If you're looking for post-DA, maybe BSGA, FPAC, or PPGH. OK, PPGH might just be my hopium speaking.

FPAC staring down the barrel of a merger deadline of March 8th... hoping they get it done, but getting tight. Need a filing this week.
They are slow [compared to others when sorted by 2nd revision filing date](https://spactrack.io/daniel/) but I could see crypto SPACs taking longer due to more complexity and the recent crypto price volatility (see: FPAC on a similar timeline).
FPAC Warrants were my best play in SPACs so far. Scooped up a ton at 90 cents. Sold at $2.20. It peaked over $3 and I bought back in with this SPAC bloodbath at like 80 cents a share. Bullish owns an absurd amount of Bitcoin and the deal will be valued based on the price of Bitcoin 30 days before merger. So this pullback now, before the merger, is fantastic for FPAC investors.

FPAC warrants 💎-hands gang checking in. I also feel that OCA/PACX were particularly affected by how badly the new-age insurance/fintech companies have been beaten down since those DA'd. To be fair, Coinbase has been getting killed too, but I think it's different considering so much of Bullish's valuation comes from their crypto holdings. Additionally, Bullish has a $300M PIPE so hopefully they'll want to take that. That being said, bring on the FPAC warrant $0.6Xs pricing 😆
I mean if companies can avoid a beating on public markets and instead stay private where valuations are still frothy why wouldn't they? Once private markets settle down we'll likely see fewer competent SPACs/companies terminate in favor of staying private. For something like FPAC, the volatility of Bitcoin was expected when DA was signed, so I'd assume it be safe to rule out sector-related beatings
Woke up to the OCA/Kin news and it terrifies me. The worst part is, as u/LastPotato1214 mentioned, "They had a vote date set, plenty of filings, news, even a December acquisition." This terrifies me as a warrant holder because deal completion, which was not really an issue for the last 2 years, is now suddenly front and center. I have lots of FPAC/W, and I can average down to the depths of the earth, but I can't control deal terminations that can happen out of the blue, which would a) cause the value of the warrants to plunge even more, and b) defeat the purpose of me having the warrants because I bought them for this particular target. Also - if the deal is terminated, people will say they'll go ahead and find another target, but mentally it's going to be a huge pain to baghold the warrants amidst huge uncertainty. I scrolled through the Kin press release and they actually admitted: “We worked tirelessly over the better part of a year to bring this combination to fruition, but we have **collectively decided that current market conditions are simply not conducive to Kin becoming a public company at this time**.**"** I wonder how many more deal terminations there are on the horizon.
