So what’s going to be tomorrow’s DeSpac runner? The last 3 have been stunning, but out of left field, except they were all in the Pharma/biotech area. Are there any that haven’t ran yet? YS, ZURA, CDT, SABS, NUVB, CDT are former spacs, did I miss any? Has anybody seen a pattern?

Exited my NRXP commons that I bought pretty low for a decent slow climb up and gains. Never did pull the trigger on that LAB M and A. Wanted a piece of RKLB and LILM, but am loathe to spend cash. But I think that LILM will run in a month. I’m just in the ARIZR and BRKHW now. I’m willing to lose what I have staked in those two if they liquidate. Feel content with my remaining few tickers. Wish I were holding commons instead of warrants on that SABS. But I have an ungodly amount of SABS warrants and that’s just how it works if I don’t want to be overweight on that. Been doing ok with some infrequent smash and grabs by dumping a ton of cash in at once and quickly exiting. I’m waiting for Santa Rally and H22024. Then I think I’ll be making some jack again. More time than money.😉GLTA, happy Friday.

Checked out the SABS investor presentation, and it seems that they’ve fully pivoted to SAB142, which is their approach to prevent/delay type 1 Diabetes. This is logical as the announcement of up to $130m in funding to see this through to phase 2 seems to be specific for this program. What are you guys’ thoughts on what’s going to happen with their influenza (SAB176) and CDI (SAB195) programs. Will they still be able to develop/pursue these in parallel, or do we think those are on pause given the specific investment tied to SAB142? The influenza program was fast tracked/breakthrough so it seems like they are close(r) and would be a waste to pause that now. Would they need specific funding now, or can they develop that on the side? https://ir.sab.bio/static-files/b332c893-5795-4d05-af96-a9ebcd917f24

Ya. I don’t really know, but if you are SABS and someone is looking to buy a piece of you, I think you would want the unused offering to be closed and deleted. Or, in my wildest imagination, maybe you would want to be very clear about the float size to attract more investors if you were on the edge of a breakthrough. It’s just weird because they are down to the dregs of their cash. I mean they run a tight ship and all, but have about 8 milly left last I checked.

Apologies to my SABS homies for the murder today. I’ve been selling a decent chunk of warrants above 10 cents. I don’t think the warrants should trade above 10% of common price and I’m getting a feeling shares will drop once they get shelf offering going. Then they’ll probably reverse split to keep share price above the $1 mark. I sold a few thousand commons shares last week as well anticipating these headwinds. My thought process is I’ll buy back later when there is more reason to attempt to hold up share value. Unfortunately management doesn’t seem interested in keeping shares above $1 to avoid the split- likely because they need money via dilution instead of debt. I’ll be quite sad if they don’t manage to get a partnership or if they are forced to sell out for pennies on the dollar. Owners/C-suite team are still big holders of shares so they feel the sting just as much if not more than the rest of us.

>Am I reading that right? Don't think so. That S-3 says: "[As of May 5, 2023, the aggregate market value](https://www.sec.gov/Archives/edgar/data/1833214/000143774923013303/sabs20230504_s3.htm#:~:text=As%20of%20May%205%2C%202023%2C%20the%20aggregate%20market%20value) **of our outstanding common stock** ***held by non-affiliates*** pursuant to General Instruction I.B.6 of Form S-3 **was approximately $31.1 million**, which is based on 35,843,245 shares of common stock held by non-affiliates as of such date and a price of $0.87 per share, the closing price of our common stock on May 5, 2023. Pursuant to General Instruction I.B.6 of Form S-3, **in no event will we sell securities** registered on the registration statement of which this prospectus is a part **with a value of more than one-third of the aggregate market value of our common stock** ***held by non-affiliates*** **in any 12-month period**, so long as the aggregate market value of our common stock held by non-affiliates is less than $75 million. " So that says SABS cannot sell more than around $10 million worth of shares in a 12 month period ( 1/3 of $31.1 million, actually ) while the ***market value held by non-affiliates*** is < $75 million. That S-3 isn't effective yet. The other S-3 they [filed on May 1st](https://www.sec.gov/cgi-bin/browse-edgar?action=getcompany&filenum=333-271543&owner=exclude&count=40) ***is*** now effective. That one is to sell 300,000 shares. That is from the "2023 Ladenburg Agreement", announced March 24. Ladenburg received a warrant to purchase 300,000 shares at $0.5424 per share, and those shares are now registered for public sale. In addition, "[Pursuant to the terms and subject to the conditions set forth in the 2023 Ladenburg Agreement](https://www.sec.gov/Archives/edgar/data/1833214/000143774923007867/sabs20230324_8k.htm#:~:text=Pursuant%20to%20the%20terms%20and%20subject%20to%20the%20conditions%20set%20forth%20in%20the%202023%20Ladenburg%20Agreement), the Company will (i) **no later than June 30, 2023, pay $1.5 million to Ladenburg in cash or shares of common stock**, at the Company’s option; and (ii) **no later than December 31, 2023, pay $1.1 million to Ladenburg in cash or shares of common stock**, at the Company’s option."

Ya it’s weird they are recycling remnants, but if they are getting results published on DoD work, I think there are additional reviews before submission. They should be doing more PR, so I’ll take! Heck, they should publish all the early Mers work from their inception! Elsewhere, Gingko started a collaboration to run more efficient clinical trials and partnered with Kroger on it. After watching SABS languishing while their CROs used AIDs clinics to run their trials, I am holding more knowledge than I ever thought possible on how to reform the decrepit system, safely of course. SABS would be through all of this if the system were not so dysfunctional for the clinical trials.

Anyone who understands shelf filings could you look at SABS shelf filing? It says pretty early on in their S-3 prospectus that they won’t sell any shares or anything if market cap is under $75 million. Am I reading that right? So they have to push market cap above $75 million before sales and then they can only sell $50 million in securities right?

Hopefully they can follow up with one more piece of decent news to lock in share price above $1 for awhile. 35m shares traded hands today is pretty solid. I’m hoping there will be some filings from institutions in the next while showing more interest now that they have some legitimacy in something aside from Covid treatment. They have an insanely robust pipeline and if one treatment is considered a breakthrough why won’t all the others when SABS is the only company capable of generating polyclonal antibodies? Only downsides are their past inability to create sensible trial parameters that decimated their Covid trial and treatment as a whole. The other is only having cash on hand to continue operations through year end 2023.

However, for a few that I like, if the commons get under $2, I start to buy commons instead, because I start to imagine scenarios like the commons going to $9 in 4 years which is still an amazing return, but would make my warrants worthless in the end. I have now implemented this for $STRC, $TMPO, $SABS, $SNAX, $DNA, and maybe a couple more I'm forgetting.

Payo sits on lots of other peoples cash so as interest rates creep up so does their interest income. They are expanding rapidly in developing countries like China and India which both have solid opportunities and potential instead of trying to enter a crowded US market. Their fee structure is lower than competitors but helps their growth a lot. Valuation below $10 seems awesome and they crush their charts for estimated growth from when they were merging to go public. If only the 3rd leg of my SPAC trio SABS was doing so well lmao

Huge utility in London and ZNTE now EVEX has those contracts enmeshed with their helo operations that are used quite a bit. Also it’s totally normal in Brazilian cities to have helo taxis. 30% of market share is Brazil and LatAm. Already a habit in those regions for conventional helos. We are your kinda people. Very positive to hear from you!

So, I have a well researched reply. The whole basket of biotech simply must abandon a spray and pray approach to drug pipelines at this point. What are your key revenue generating priorities and how can you set your lessers on the shelf. I previously explained that the ARPA-H money train would only ever be granted to companies that had a prior record of activity in Phase three. This was a Venn diagram overlapping set of (laborious time on c-Span in the summer listening to every hearing and reading every transcript or document) and I personally concluded that SABS had done the correct thing by achieving stage three on Covid drug, but needed to pivot and be highly effective in a critical area with a larger sustained target population. Accordingly they have dumped COVID revenue and moved into type one diabetes treatment, oncology, and c-diff. Three areas that without them have few treatments that are efficacious. Also, the science is interesting in that they have a certain cure, and it comes before catastrophic outcomes if administered in an onset or prophylactic manner. I remain bullish and care not about sunset ing or shelves such NAT SEC cures as Ebola, MERs, and Covid. The gal from Vladivostok gets it. Have one or two in the late stage fast track pipeline. Execute. This is a little explanation to cement m my y thesis https://twitter.com/bradloncar/status/1612928476293787650

Watching that nested XWEL Concentric Ginkgo airport testing like a hawk. A part of me thinks: .35 cents, worth the gamble. Then bc other part of me thinks that I should stick to my thesis and just buy more disappointing SABS with that lunch money. Both going to get some some gains by catalyst around 15.1.2023. Just don’t have the heart to pull the trigger. Cash fang apathy. Struggle is real.

Honestly almost every small biotech fails. Having a brilliant product is literally only 5-10% of the battle. Having management that is capable of getting intelligent trial studies designed and executing on passing phases 1-3 is 40% of the fight, getting it done before other competitors get their products on the market first is 20%, and the remaining 30% is marketing and getting coverage from formularies so people can actually access it is the last part. I wouldn’t recommend buying a company unless they have products through all 3 phases and actively on the market. Signed guy with giant bags of SABS.

Good morning 🌞 I am feeling like the SABS capital raise is not too bad, not great, but it seems legit and not likely to impact the execution of the warrant agreement. If it gives them more time to get a product to market as they sold everything to insiders and privately, so be it. Stay afloat, avoid delisting, and get through the approval process. It is actually quite nice that they had enough takers to make it work privately.

So what I think you are referring to is crescent terms where the exercise price & redemption price is reduced? The key thing with these is they only apply to additional capital raised in connection with the initial business combination. Any shares issued in a capital raise after the business combination have no effect on the warrants. The relevant info in the [warrant agreement](https://www.sec.gov/Archives/edgar/data/1833214/000149315221000441/ex4-4.htm) for SABS is in section 4.3.2 >*If (i) the Company issues additional shares of Common Stock or securities convertible into or exercisable or exchangeable for shares of Common Stock for capital raising purposes* ***in connection with the closing of its initial Business Combination at an issue price or effective issue price of less than $9.20 per share of Common Stock****, with such issue price or effective issue price to be determined in good faith by the Board (and in the case of any such issuance to the Sponsor or its affiliates, without taking into account any founder shares held by such holder or affiliates, as applicable, prior to such issuance) (the “New Issuance Price”), (ii) the aggregate gross proceeds from such issuances represent more than 60% of the total equity proceeds, and interest thereon, available for the funding of the initial Business Combination on the date of the consummation thereof (net of redemptions) and (iii) the volume weighted average trading price of the Common Stock during the 20 trading day period starting on the trading day prior to the day on which the Company consummates the initial Business Combination (such price, the “Market Value”) is below $9.20 per share, the Warrant Price shall be adjusted (to the nearest cent) to be equal to 115% of the higher of the Market Value and the New Issuance Price and the Redemption Trigger Price (as defined below) shall be adjusted to equal to 180% of the higher of the Market Value and the Newly Issued Price.*

They got one. I remember from SABS it takes about six months and can be appealed and you only need ten days above $1 to get out of the predicament. If SABS can do it, just about anyone can. SABS came back from about .70 cents, too.

As of this morning I am in BSGAR , ARIZR, SABSW, SABS commons, DNA commons. I flipped all the DNA warrants on gains over a year to acquire more commons and DCA down. I’m still at at $3 CB because it is not easy to lower your CB in a minnows port if you have more than 20,000 shares of anything. It is not very flattering but other than the ARIZR, I feel like my tickers have a big upside and I’m not stupid, they will suck royally for 12-18 months. My biggest risk is boredom to be frank.

I'm not sure exactly what you mean by that. I'm not playing for today's pump, I'm holding long term. Looking at $DNA, $STRC, $SABS, especially $BKSY, in my portfolio. Both BKSY and ACEV warrants were about 0.17 yesterday, BKSY commons $1.70. If TMPO stays above that, warrants should go up. Which means I won't get a better entry in TMPOW than I had in ACEVW the past few weeks.

SABS had a partnership in research with CSL Behring. Not sure if they still do. But CSL Behring just was approved by the FDA for the most expensive drug in history. A gene therapy for hemophilia B. It costs $3.5 million a dose. Still trading better than SNAX and DNA. SMH. The folks who hate government services perplex me. I have exactly one possession that I never competed for and struggle to deserve: munis passport. SABS and SABSW have given a report on Q3. I guess they are waiting on about 6 million income to be settled out from the prior DOD grant. They restated their cash on hand is sufficient to make it through July 2023. So, no surprises and it has stabilized over the $1 threshold for now. So that’s good. Still a little choppy but back in the game. 💪

I could relate. We should have a free for all on that. WHAT DO YOU WANT TO HOLD FOR TWO YEARS? Who cares what I want to hold, but for me it is ORGNW, MSTR at $80, BSGAR and ARIZR, SABS and DNA commons. I am also thinking ASTS is interesting but I was never popular, but I was accepted by every In group, and the twitter furus strike me as high school dynamics. Ya, happened to SABS. They have been above a dollar for about a week now, so there’s hope. It was grim when the deficiency notice was used. But when I looked it up, one can also appeal for an extension if they have a good plan. So technically it could be a long time before some of these delist.

I had fitful sleep between the termite disclosure on the house I am under contract on and my SPAClife…and the outrageous gusts of howling winds… well I dreamt that Eddie Sullivan from SABS asked me to handle that presentation to potential customers and buyers up in Boston on 17 November. Quietly building SABS under the radar, polyclonal antibodies has a future. LTRPA and TRIP are looking nice after a earnings miss beatdown. I bet they crush next earnings. Entry in LTRPA in the .80s is unreal. Made nearly 100% on my last entry at .78. I am convinced the projections were skewed to allow HF to loadup near all time lows yet again. Yoy they crushed but missed EPS because of currency exchange rates...? Really? Miss by 30 million and 1 billion gets swiped of the market cap? This market is unreal.

Dang. Glad I got too busy with real estate shenanigans to post on my DNA thesis. Because Monday she shat the bed. I went ahead and bought another 1000 shares at the $2.40 mark. If it gets close to $2.10 again, I will load again. I have always felt it was worth it from $2.40-$3.40. Obviously, $2.40 being more optimal. $2.09 is all-time low. Earnings next Monday AH. Went back into the $2.60s today for a while so I didn't feel dumb. ;) ...Jason in Japan, the list of partners is so stellar, it can't be beat-- Sumitomo, Bayer, Roche, etc. Just dead cash for a while for me, maybe 2-3 years. SABS came back to life the minute I stopped fretting about it. ;) Down to a $3.17 average on $DNA and that's getting better. Lots of free shares from flipping it ATH. Shrugs shoulders. Bid on a $300k house. Got them down to $270k. Now for the DD and inspections next ten days. Close to an acre. Lot's of light. Shitty kitchen. lol. New HVAC, roof, H2o heater. Shrugs shoulders. I voted. That's about it... have a good day.

Wow. Super grateful for the kind welcome back. You guys are amazing. Folks who haven't seen me post on $DNA for two years running asked why I am in it. Good news is, I'm in a three week module in my teaching on Syn Bio, and so should be able to do a recap of the DD for the weekend main area with some great links and I'm I busy do it shouldn't be too verbose. Mostly, I am just so grateful. Bis on another 200 shares. Just have to play lunch money these days. I look at my major fuckups. ZNTE $19K and SABSW another $19K and haven't even fully exited the SABSW-lolol. I'm still sitting on 10K SABS warrants. Jebus! But if we look back to pandemic. I had $4000 -never even thought about investing, read about SRAC, thought WTF is a blank check, and well it has been a weird road. I have lost 40K. But if I get really real. I started with $4k. So fuckit. Ilove you guys. I keep acting like I am losing money. I am most definitely NOT! ... I mean if we look at the whole situation. Remember, I'm a wage slave plebe, fucked up with student loan debt, lived paycheck to paycheck my whole life while working anywhere from three to 8 jobs. r/SPACS is my miracle. Literally a fucking miracle I found you and then the fact that you tolerate me (sorta) is golden. Currently bidding on some very weird and very big properties and doubling down on a vision to house Ukranian (mostly ladies and their children while their husbands serve) refugees in Georgia, where I have community connections through my PhD in violence studies. Sure, I'm financially a newb, but what y'all have taught me will never go to waste. Admittedly, I might not ever get out of the hole dug by decades of financial ignorance aka debt, but as I rise, I have committed to rise in tandem with folks who have even less $$$ than myself. I think I got this. ;) Elsewhere, that powerball is too weird not to buy. Do it. Makes me sad tho, as when meritocracy fails, one goes to the lottery. Deep game theory includes, wait for it, DNA in game theory. Meaning, when the lottery becomes most popular, it means meritocracy has died and DNA, or inherited wealth, has climbed so far that merit, entrepreneurship, and effort will not create wealth. Those lotteries will only get bigger and more important in our lifetimes. I did a PhD in *historical* game/war theory from Johan Huizinga to Roger Caillois. Trust me, when that lottery hits 1.5 billion, we got a social situation, as a humanist it is utterly mind boggling to see it play out in my new hobby of macro econ. There is no distinction in game theory between war and play, just FYI. ;) Have a great day... coupla rabbit holes for you: [https://en.wikipedia.org/wiki/Roger\_Caillois](https://en.wikipedia.org/wiki/Roger_Caillois) [https://en.wikipedia.org/wiki/Johan\_Huizinga](https://en.wikipedia.org/wiki/Johan_Huizinga) Mwah, love you guys. Cannot wait to post a final home buy, just may take another 6-8 weeks. Prepare those SNAX memes, I'm buying in based on the quality of the memes. ;) Solidarity, as always.
