The right to buy the stock at a certain price by a certain time, They usually expire years in the future but what happens sometimes is that once the stock starts trading high enough the warrants are called. So you get stuck with warrants at par (.01) no matter what they are trading at. If you can exercise the warrants and collect the stock before they are called then you will be ok but I think that people do warrants with the purpose of trading them, not exercising them. FRGE did that a few years ago and caught a lot of people. So don’t be greedy and stop trading them if the share price starts getting up there. But this is a solid company with a future so if you are holding these warrants it should be for the purpose of collecting the stock

Im in like the exact same boat as you. started Dec 2023 and I've been trying to be very serious about it. made some mistakes along the way, such as putting 75% of my eggs into a $FRGE basket right before earnings call, thinking that good news means growth, and good news happened, but growth did not, and lost 1.5k that I'm still trying to recover today. I have pretty much 60% of my portfolio being NVDA, so clearly I've learned nothing about putting so many eggs in one basket. Mostly Tech portfolio. I put around 1k into FFIE before its big jump, but saw it was losing rapidly and sold. Next week, it jumps from $0.046 to $1.80, a 39x increase. You know i was pissed. Could've had college paid for and not have to struggle so much living as a young adult without parents. Cant remember which penny stock it was, but I was about to put 2k into one i was confident would jump, but I had military duties that would take up 99% of my day, so I didnt wanna risk it dropping while i wasnt able to watch. About a week later, I open the app to look at the stock, and it was up 100% from when I wouldve put the money in. I only had $150 in it, so I made $150 cuz i sold right there, but it couldve been $2k. Now im just buying low, selling high on NVDA, last trade bought 45 shares at 97.90, sold at 105 something a day or two later, waiting for dip to buy again. Gains, but not enough to satiate my noobish brain.

It depends on a few factors, mostly whether they allow cash exercise based on F-4 or will require an F-1 registration. Shares underlying warrants need to be registered for warrant holders to cash exercise. Some spacs allow this using a Form F-4 (VFS did register the shares on a Form F-4), but other SPACs (I'd say majority) require a Form F-1/S-1, which would not be filed and declared effective for some time. If they rely on the F-4 and allow cash exercise 30 days after merger, then yes, many warrants will likely be exercised beginning 30 days after merger if stock remains at these levels. However, a second scenario, is that they require a Form F-1 to cash exercise. If that's the case, beginning on 30 days after the merger, the company could force a cashless redemption under Section 6.2 (as we saw with BRCC). Their warrant agreement caps cashless redemption at 0.361 shares per warrant so that would be around 5M shares added to float, not 8M. Or a third situation is that they allow cash exercise based on the F-4 at close+30 days, and stock crashed to below $11.50 but still satisfies the >$18 20/30 day mark; in this case, they could call the warrants for a penny with no one actually exercising (because warrants are OTM), in which case warrants are eliminated with 0 shares added to float (as we saw with TYGO, GETY, FRGE iirc, etc.).

Really? I've been around SPACs long enough to know how shit goes. Here's a fun snippet of some optionable de-SPACs and how they went; $NWTN barely holding water about $10, $AKLI shot up for half a day before going to $4, $FAZE did pretty good but never went above $20, $PGY almost made it, $GGR not even close, $FRGE got close twice.... you get the idea. Also that's going over the popular ones that got traction. For them to call early, they have to trade over $18 for 20 of 30 days in many cases. While shenanigans have always been a risk to warrant holders (this is nothing new), they are playing a risky game by doing so. Have you checked our FRGE shares? $1.80 right now. So if they try some funny business to intentionally tank the stock to escape warrant liabilities, they may end up getting screwed themselves. It's a known risk as a warrant holder that your window to exercise may end up screwing you. But as with many things here, until it actually happens it is hard to know whether it is a huge opportunity or a death trap. On the flip side, in many cases, warrant holders are getting share % tender offers. Such exit points are very lucrative from right here, as are buyouts where warrant holders get the Black-Scholes value of the warrant based on the commons price. A $5 commons with 4-5 years to go has like a $1 warrant BS value so a buyout could turn a .01 CB into 10000% gains. This stuff is always a minefield, which is why diversification and putting checks on your greed is important no matter how much you like an opportunity.

GETY stock was $27.50 when they announced they were issuing about 70 million earn out shares, because the price of GETY had remained well above the trigger levels post business combination. I wondered at the time if that would [signal the beginning of the decline](https://www.reddit.com/r/SPACs/comments/wy25oq/comment/ilxdfda/?context=3). Turns out, it did. At the same time, the sponsors took advantage of that extended stock high to cashless exercise their private placement warrants for **.662** shares of GETY for each private placement warrant, *almost double* what they would have been entitled to receive if they had to use the same cashless exercise terms public warrant holders would have received. As soon as the earn out shares and the cashless exercise of the warrants were done, the stock price began to drop, even though all of those shares were locked up. In the meantime, lots of [folks like this](https://www.reddit.com/r/SPACs/comments/wrlcfl/getty_gety_warrants/) were sucked in to the warrants, which seemed cheap. All in all, looks like retail was played for chumps again. This is the second time, FRGE ended up the same way.

GETY has until Tuesday to call their public warrants for cash. The warrant agreement specifies that they can call them if the share price has closed above $18 for 20 trading days in a 30 day trading period ending three business days prior to the redemption notice. Thursday the 15th was the last day that GETY had closed above $18 for 20 out of 30 trading days, three business days after that is next Tuesday. If they call the warrants on Monday or Tuesday then effectively warrant holders would have their warrants reduced to a call option with strike price $11.50 that expires around the 20th of October. GETY $10 calls expiring October 21 last traded for 45c on Friday with a bid/ask of 35/50c, the $12.50 calls traded at 20c with a 15/25c bid/ask. GETY warrants closed at 38c (35c after hours), therefore the market seems to be pricing in an extremely high probability that the warrants will be called. I have mixed feelings on this. On one hand it seems like a no brainer for GETY to get the warrants off the books and in all likelihood have them expire worthless (except for the nominal 1c redemption price), on the other hand the sponsor still holder 3.75M sponsor warrants as part of the $200M forward purchase agreement. These warrants were issued on the same terms as the public warrants and are separate to the $18.56M private placement warrants that the sponsor was able to cashlessly exercise for 11.55M shares. If they call the public warrants I believe the forward purchase warrants would be called as well (this is what happened with FRGE). The $200M forward purchase and $300M backstop agreement that PRPB arranged were crucial to GETY receiving much needed funds to pay down debt. Maybe GETY would do the sponsor a solid and not call the warrants at this time? Alternatively the sponsor has benefitted so much already from the low float shenanigans (they received a ton of shares from cashless exercise of the private placement warrants and received sponsor earn out shares from the price exceeding the earnout targets) that they may not care about the forward purchase warrants.

Today's filing is a S-1/A, first amendment to the S-1 registration statement. Warrants won't be exercisable until that is declared effective. " So the filing says that as soon as that filing becomes effective, around 103 million shares not subject to lock up restrictions will be available to sell; and it says "the Selling Securityholders have an incentive to sell because they will still profit on sales due to the lower price at which they purchased their shares compared to the public investors." What could really screw warrant holders over would be if today's filing becomes effective before September 15th. If so, then GETY could call the warrants for cash redemption, using the $18 for 20 out of the past 30 trading days clause, and potentially the GETY warrants could face the same fate as holders of FRGE did. If today's filing doesn't get declared effective before September 15, then (unless GETY rises back >/= $18) the $18 for 20 out the most recent trading days trigger won't be met.

It doesn't necessarily have a correlation but it appears to be a pattern. The most recent example I can think of was FRGE which proceeded to drop after warrants were called (BRCC too). I suspect it is the management team that pump the stock in order that the warrants are eligible to be called as they benefit from remove the 'warrants hangover' on the stock

Umm PGY is ~$16.75 having launched from $2.75 on 7/20. Reached ~$25. GRRR is ~$12 having sold off pretty much nonstop since hitting its peak of $51 on 7/15. Just a couple current examples. Depends on the stock. FRGE spent a couple months above $10 with a high of ~$50.
