$SPE is capturing and storing Carbon for our "Certified CO2 Reductions" (CCR) Vault. They will then make these CCRs available to CO2 emitters so they can become CO2 negative and help the world in the fight against Global Warming, just as #Tesla and @elonmusk are helping.

Im not a fan of CRWV, I think they are just a convenient pawn for Softbank, OpenAI and NVDA. But even tho the SPE structure is specifically set up to protect thise big boys, and they'd throw CRWV under the closest bus after taking possession of the data centers under the debt covenants, I will buy calls every time it drops below $90.

What people should consider is if AI does replace white collar workers what will happen to the US economy when the only segment of the labor force supporting the economy are laid off? What happens when junior software developers making $100+k a year with no families to support turn into day laborers making $15/hour? What Wall Street is hoping is that AI persists long enough to unload via IPO onto retail. And then collapse. Which requires the economy and stock market not collapse first. And, if AI does proves ineffectual *before* Wall Street can exit onto retail, it will wipe out private equity and private credit and take out the stock market. This will take out pensions, endowments, etc as well because of these SPE arrangements. It will be larger than the Tech Bubble by many multiples. Orders of magnitude. $1.4T has already gone into AI and estimates are another $1.5T is needed next year. Since GPUs don't last for more than 4-5 years this is going to be recurring. If you make $100B profit/year how long would it take you to pay back that money... with interest? It's an impossibility. The business models do not work. AI is basically that cycle game in Tron where as soon as you have an advantage you turn and destroy your opponent. Everyone invested in AI is looking for that out right now. And has been for months and it's been obvious for well over a year. [https://x.com/GravityAnalyti1/status/1853836809618223113](https://x.com/GravityAnalyti1/status/1853836809618223113) These "circular" deals are just attempts to avoid showing debt on the quarterly filings. Because if the debt were to appear the stock price would collapse. The financial engineering Nvidia, OpenAi are doing you really should pay attention to. For details on how these arrangements work and can implode here is historical context. Including a write up about the recent implosion that spooked the regional bank sector. [https://scholarship.law.duke.edu/cgi/viewcontent.cgi?article=2308&context=faculty\_scholarship](https://scholarship.law.duke.edu/cgi/viewcontent.cgi?article=2308&context=faculty_scholarship) [https://www.gtreview.com/news/americas/first-brands-accuses-founder-of-receivables-and-inventory-finance-fraud/](https://www.gtreview.com/news/americas/first-brands-accuses-founder-of-receivables-and-inventory-finance-fraud/) CEOs and thought-leaders are selling AI as able to solve cancer, fusion, climate change and so far AI can't do anything but replace junior software engineers. AI is being sold by people who live in a bubble of childhood science fantasy.

Not really the same thing here - under GAAP investments in securities (unless held to maturity) and equity investments, as well as derivatives, loans held for sale, and other similar balance are “marked to market” and recorded at fair value. However, depending on the nature of those assets m, or liabilities in some cases, (e.g. cash flow edge vs fair value hedge, AFS vs Trading Securities) - the change may be recorded on the income statement (impacting profit / net income, such as the bitcoin case) or the statement of other comprehensive income, not impacting profit. In Enrons case - it wasn’t “mark to market” accounting that was the root issue, it was their fraudulent manipulation of fair value (mtm) estimates and off balance sheet entities that were the main issues and led to its collapse. For example (among other things) they improperly applied MTM accounting to long term energy contracts, and booked future profits in the current period despite variability and cash flows not coming for years. They also didn’t later adjust earnings downward if those projections were wrong. That was fraud, not an issue with the accounting rules themselves. The FASB did reform mark-to-market rules (FAS 157 —> ASC 820) after Enron as well as SPE/Off Balance Sheet rules (FAS 140 —> ASC 810 and 860) to eliminate off balance sheet hiding and clarify the hierarchy of how fair value estimates should be applied to mitigate Companies making fraudulent estimates like Enron did. ASC 606 also created stricter and more consistent rules on long term contract revenue recognition. But the rules themselves were not the issue and operated largely fine prior to this. These changes just helped ensure consistency of application across all industries / companies and made it harder for a Company to hide this kind of fraud in the future.

Negative. Enron hid debt in related entities that they did not consolidate. They called them "SPE's". Mark to market has been around as long as I have been in the industry. Basically you can classify an asset as "available for sale" and you realize gain or loss at the end of each reporting period and that is the new asset value.

Your bitcoin numbers sound equally as tongue in cheek. Much of my net worth is in an SPE from selling my business. The payout in ~5 years will be over 2x of the rest of my total portfolio, so almost all of my taxable assets are in a global direct indexing allocation to preemptively TLH, and some are in uncorrelated alts. Most of my taxable assets outside of the business come from buying BTC in 2011 which was dumb luck - I couldn’t even access the wallet from 2012-2020, and this is the only time I have ever and will ever held BTC, gold, or cash directly. Another chunk comes from Tesla shorts which were inspired by posts like yours on Reddit - but I still wouldn’t have opened those if not for the future taxable event making losses so welcome. Similar to the above, I’ll never buy options again, but I’ll sell them. 401k is about 25k in S&P 500 with diversified Alts for annual rebal. I have 2 other negligible 401ks I never bothered rolling over. Roth 401k is about 100k in small caps and EM. Roth IRA is about 2.5mm, started all FAANG as a teen, now mostly private credit with value plays. Asset breakdown excluding SPE and negligible 401ks comes out to ~75% us / 17% intl / 8% alts.

Fast Acquisition Corp ( FST ) was A SPAC that was not associated with Fertitta. Fertitta agreed to [take Golden Nugget/Landry's public](https://www.prnewswire.com/news-releases/tilman-fertitta-enters-into-deal-to-take-golden-nuggetlandrys-public-301218700.html) ( Fertitta Entertainment Inc ) in February 2021. **He would have owned 60% of the company then**. In December 2021, FST and FEI [mutually agreed to terminate](https://www.prnewswire.com/news-releases/fast-acquisition-corp-and-fertitta-entertainment-inc-mutually-terminate-transaction-301442237.html) the merger agreement a few days before the stockholders were scheduled to vote for the business combination. FEI agreed to pay $33 million to FST if they did not complete a business combination. In August 2022, [FST announced they were liquidating](https://www.globenewswire.com/news-release/2022/08/10/2496289/0/en/FAST-Acquisition-Corp-Announces-Additional-Information-Concerning-the-Redemption-of-its-Public-Shares.html), and that shareholders would get $10.02 per share, and the FST sponsors would be keeping the $33 million. [Special Opportunities Fund sued FEI](https://www.businesswire.com/news/home/20220816005913/en/), alleging breach of fiduciary duty and unjust enrichment. From the [Special Opportunities Fund, Inc. (SPE) Annual Report For the year ended December 31, 2022](https://www.annualreports.com/HostedData/AnnualReports/PDF/NYSE_SPE_2022.pdf): "In our last letter, we discussed a lawsuit we had filed against FAST Acquisition Corp. (FST) a SPAC that was slated to liquidate, to prevent management from keeping its remaining assets rather than making an equitable distribution to all stockholders (including those shares held by the sponsor). **After later discovering documentation that the sponsor had agreed to forego any distributions if FST liquidated, we filed an amended (stronger) complaint asking the court to order that its assets be distributed only to the public stockholders**. All shares of FST have been redeemed for the cash in the trust account, but as a former stockholder, the Fund retains an off-balance sheet legal claim against FST that is effectively valued at zero. With the legal proceedings coming to a head, and with no material factual disputes to resolve, a settlement in the near future is possible." Don't see any information about that being settled yet. Anyway, if Fertitta wanted to spin out some companies from FEI now, perhaps he could use LCA to take them public, while still retaining about 98% of the ownership initially.

[Special Opportunities Fund Sues Insiders of FAST Acquisition Corp](https://www.businesswire.com/news/home/20220810005495/en/Special-Opportunities-Fund-Sues-Insiders-of-FAST-Acquisition-Corp) \- FST [FST.WS](https://FST.WS) "FAST’s sole objective is to consummate a business combination with another entity. In 2021, FAST negotiated a merger agreement with Fertitta Entertainment, Inc. which Fertitta subsequently terminated. In connection with the termination, FEI agreed to pay a breakup fee to FAST of up to $33 million, including $26 million if FAST does not consummate a business combination by August 25, 2022. FAST has announced that it will not be able to enter into a business combination by the deadline and will dissolve. However, FAST’s insiders have indicated that they will keep the breakup fee for themselves and not distribute any portion of it to the public stockholders. The complaint contends that FAST’s Board of Directors has a fiduciary duty to distribute its net assets equitably i.e., to all stockholders, in a dissolution, which is expected to occur in the near future. Phillip Goldstein, Chairman of SPE and a managing partner of Bulldog Investors, LLP, SPE’s investment advisor, commented: **“We have seen some brazen self-serving schemes by public company insiders over the years but the attempt by a SPAC sponsor, after failing to achieve a business combination, to grab a parting gift for itself and management at the expense of the SPAC’s public stockholders, as it intends to do here, represents a new low in corporate governance.”**

All the facts that you mention are publicly available and common knowledge to the ones that care. I would also add another recent technological improvement highly adopted in the Permian like Simul-Frac (treat 2 wells at once with a single frac fleet). Ask your buddies in Chevron, they even published some nice SPE paper recently. All these novel techs are really here today as a reaction and attempt to defeat/postpone the inevitable that we have been discussing for years and now seems to be finally among us: QUOTE U.S. onshore unconventional production “has likely peaked.” Domestic explorers are “in an era of low-to-no growth.” Onshore operators in the United States are up against a wall, faced with “declining well productivity and increasingly challenging geological conditions limiting production growth”.

However, they have not updated that since the Merlin well which found different zones than they were expecting so not sure if that number goes up or down. Doubtless they will tell us soon. As for Umiat, they are saying the have 2P and 3P reserves but this is not a correct reflection of the SPE PRMS they claim to have applied. They have already said that Umiat is not commercially viable unless other finds at Peregrine are a success to it should be Contingent Resources but then Dave Wall was never one to let definitions get in the way. You're right for CBS in USA it's the highest for total ratings. To be fair I don't work in the US so I didn't know, but in Europe, LATAM, Oceania, Viacom channels are tier 2/tier 3 at best (apart from kids, where it's top tier with turner and disney). To note, most tier 1 channels only operate in one country, so I wouldn't be too upset by it. Also looking at total ratings doesn't tell the whole story - ratings on Adults 18-49 are much more valuable than older ones, and channels that skew towards Men also deliver higher ad revenue. Current P/E is 10 if you look at Yahoo Finance, if you look at ViacomCBS and look at their actual figures, it's over 20 ($3.93 EPS). Yahoo Finance is great for an overview, but you need to do your due diligence over that by looking at the company's results that they report. Yes, but Disney has a pedigree of delivering excellent films that people go to see. Looking at their finances, Box Office isn't a main revenue driver anyway so it's fair to say you can ignore it. However if they start building strong franchises, then who knows, Viacom might be a strong investment, but looking at what they have coming in this year, it won't be soon. Oscar winning films tend to be part of the $100M club, maybe not the same as the $1B club Avengers is in, but still very strong. Paramount might get 1 film a year in that bracket, could be a couple this year if you consider Mission Impossible a shoe-in to reach that, and then you hope for the best that one of their other big blockbusters is a success. Re 8B in cash, sure that's strong. 10B total if you count receivables (3B in actual cash). Still 8B in current liabilities, but I am surprised to see such a strong balance sheet vs 2019, I thought with how media was impacted this year it would be worse, but it's significantly better. Fair play. 60 is a good target, but don't be surprise if it doesn't get there this year or even the next 3 years. It's a stock that is really safe and tends to trade flat as it doesn't really see any significant increase in net revenue. As you said, I'd much rather have these discussions on this sub than the echo chamber we've seen on some other stocks. I won't be touching this as I like a bit of risk in my investments (stocks with an opportunity to be a double bagger in a year, if not more. I say that but I do own Sony, so take whatever I say with a pinch of salt). Overall I like Viacom as I used to be one of their vendors in one of their segments, but for me, it's got a long way to go before it grows substantially to be an even bigger media conglomerate. Also would be interesting to compare the financials vs Disney, but then again In this sector it's hard as you're never comparing apples with apples, like you don't buy AT&T because it owns Warner or Sony because it owns SPE/SPT/SPHE, it's only part of it.

You can find some return on investopedia and the web on this. Google how etf NAVs are managed. There is a SPE involved whereby shares are purchased, sold, or created throughout the day to keep the nav and share price consistent. This mechanism is common across ETFs

I am a bot from /r/wallstreetbets. You submitted one or more banned tickers: SPE. Message /u/zjz if they're above 1.25 billion-ish market cap and not related to crypto/pennies/OTC/SPACs.

A young man at my work today *(makes $50,000-60,000 annual) was bragging about how he made $1500 in stocks since friday morning. I laughed and said what are you an ape diamond handing GME? He is like yeah! We are going to the moon! I figured based on math he probably has $1200 or so in gme stock. I tried hard not to butt into his business but i did remind him to diversify and sell some of his tendies for some AAPL OR POSH OR BOEING OR SPE OR (something) he just snickered and called me a boomer. 😞 I hope it hits for his sake. *(i got a few shares....but its not my whole portfolio)
