What about the news with banks are getting out of AI tech data centre loans. They dont tell us about it but its leaked. They call it "carnage"! Major banks and financial institutions are actively reducing their direct exposure to AI-related infrastructure and corporate software debt. Lenders are offloading billions in data-center and tech-sector construction loans to non-bank lenders, while also raising borrowing costs for private credit funds heavily invested in AI. Several factors and actions characterize this financial shift: * **Data-Center Debt Offloading:** Major lenders—including JPMorgan, Morgan Stanley, MUFG, and SMBC—are syndicating and trying to sell massive data-center construction loans (such as those leased to tech giants and cloud providers) to hedge against over-concentration. * **Private Credit Markdowns:** Banks have become increasingly anxious about the sky-high valuations of private software and AI companies. Firms like JPMorgan have reportedly marked down loan portfolios to account for the risk of rapid AI model obsolescence hurting corporate borrowers' balance sheets. * **Regulatory Warnings:** Global institutions, including the Bank for International Settlements (BIS) and the Bank of England, have warned that the massive corporate debt loads required to fund the $1+ trillion AI infrastructure boom pose significant systemic risks to the broader economy.

Great thread. The "keiretsu" answer is technically correct but doesn't really explain the investment thesis. First, a key clarification: Mitsubishi Electric (TSE:6503) and Mitsubishi Heavy Industries (TSE:7011) are completely separate publicly listed companies. They share a brand name and some cross-shareholding history, but management, earnings, and strategy are fully independent. The Mitsubishi group is a keiretsu — a corporate group dating back to the Meiji era (1800s), with MUFG Bank at the center. What makes them interesting long-term: this group tends to be heavily involved when the Japanese government needs industrial partners, both domestically and overseas. The Australia frigate deal is a concrete example. MHI signed a $6.5B contract with the Australian government in April 2026 for 11 Mogami-class frigates — Japan's first-ever warship export. First 3 hulls built in Japan, remaining 8 in Western Australia, with delivery starting 2029. Multi-decade government contract, exactly the kind of revenue visibility that makes the defense thesis compelling. One tactical note for overseas investors: the BoJ is widely expected to hike 0.25% to 1.0% at the June 16 meeting (\~90% of analysts). This is largely priced in, so a major yen move on the announcement itself is unlikely. That said, there's usually short-term noise around BoJ decisions — waiting for the post-announcement dust to settle might give you a cleaner entry point into Japanese industrials.

Nintendo has high PE, and low yield. No options. Nintendo won't bleed red anymore as it's a N255 company, so when Nikkei corrects, Nintendo will get money and correct. Do I like Nintendo long term? Yes, depends. All you need is a screenshot of our Link the Twink or pretty much any announcement to get some R34 Zelda fanart for an easy 20% gain. But holding just for that is dumb. If you want to buy a quality share, you cant go wrong at $12-ish. Nintendo is a hold forever company. Even if Nintendo go bankrupt. But Japanese companies I personally like more other than Mizuho, Nomura, MUFG. Hold My Cosmos. Honda. They are getting fucked for reasons and now it's a great time to buy. Murata and Fanuc still haven't recovered, and these are legit bottlenecks for semiconductors and upcoming robotics. Cheers. Un abrazo

You're joking? Nikkei has not gone under 56000 for months, ATH is 58000, Nikkei is holding like a motherfucker and all JPY financial institutions are going hard and carrying (Mizuho, NMR, MUFG.) All of them have huge buy back programs, and what''s actually happening is they are using these dips to buy more and then certify the shares as part of the company. MFG has bought 200b back, and will buy more. When this is solved, they woll moonshot for sure. There were 3 additional offerings in early November that never materialized. In the face of Oracles stock decline and bad press, if these had been successful, the company, Larry and every AI pumper would be broadcasting it to the world. I doubt Oracle or the banks are going to issue a press release saying no buyers stepped up to fund more toxic debt. Also seven was meant to be several and Bloomberg changed it which I updated as well. None of the 3 offerings went through AFAIK. https://octus.com/resources/articles/banks-prep-series-of-multibillion-dollar-debt-offerings-for-oracle/ Software leader Oracle is preparing to launch a series of multibillion-dollar debt offerings to finance the development of multiple AI-related data centers across the United States, according to sources familiar with the deals. Of the debt offerings for Oracle is a $38 billion deal, which will consist of $23 billion and $15 billion term loans led by JPMorgan among multiple other banks, according to sources. Proceeds from the loans will fund two data centers developed by Vantage Data Centers in Wisconsin and Texas, sources said. The term loans for Oracle will have four-year maturities with two one-year extensions, said one investor, who added that JPMorgan and the banks have been building a book from buy-side participants and that the deal should launch in a few weeks, though terms are subject to change. The investor also noted that it has been interesting to see traders buying CDS on Oracle recently at two-year highs. Oracle is also preparing $18 billion in other debt financing, which would include bonds, likely to be rated investment grade, according to sources. Proceeds from the deal will fund the development of an Oracle-affiliated data center in New Mexico, with financing led by SMBC, MUFG, BNP Paribas and Goldman Sachs, among others, according to sources.

*beep boop* oh no, you got me… 🤖🤖 Twitter is majority owned by Elon Musk. Here’s a breakdown of the financials for the acquisition (from this [wiki](https://en.wikipedia.org/wiki/Acquisition_of_Twitter_by_Elon_Musk?wprov=sfti1#Legacy)): > On April 20, Musk disclosed that he had secured financing provided by a group of banks led by Morgan Stanley, Bank of America, Barclays, MUFG, Société Générale, Mizuho Bank, and BNP Paribas, for a potential tender offer to acquire the company. The funding included $7 billion of senior secured bank loans; $6 billion in subordinated debt; $6.25 billion in bank loans to Musk personally, secured by $62.5 billion of his Tesla stock; $20 billion in cash equity from Musk, to be provided by sales of Tesla stock and other assets; and $7.1 billion in equity from 19 independent investors. So he ponied up $26.25B in cash (including his personal loan). $7.1B is from 19 other investors. That leaves $13B in loans (which is what we’re discussing here). The question is who is ultimately responsible for that $13B. If it was loaned to Xitter, then it seems like those 20 owners would be responsible for it, with Musk having the lions share. They can liquidate the company or try to sell it, but it’s probably not even worth that much, so they’re on the line for the difference. It’s not a question of whether the banks can recoup (Musk & co. obviously have the means), it’s that the banks can’t sell the loans and so they’re in a bit of a liquidity crisis.

This time it isn't about the stock market it's about the currency as well. This is the big risk my economics professors discussed with us more than 20 years ago which is a lifetime market risk not a business cycle depending on how it plays out. This time the risk is the end of the US Debt cycle and the US Dollar being the global currency. The issue is the Japanese have been loaning the world Yen in trade for US Dollars meaning they hold a significant amount of US Debt. This currency move up with the JPY getting stronger is causing the carry trade to get unwound. Many may not know this but the reason that MUFG is crashing is that this bank is at the heart of vendor financing programs globally. GE Capital's vendor financing program which included not only GE but Honeywell, and many other large industrials went to MUFG since they are the ones who for years operated the sale of the bonds in Japan. If this issue can not get stopped, the risk will spread from a market risk to a currency risk where Japan, China, UK and other large holders of US Debt sell the US Bonds and there is no one to buy. If this happens the value of the US Dollar will dramatically drop. Then the risk becomes not a stock market risk but a stock market risk in terms of the US Dollar.

Yes just to be clear. > To fund his $44 billion offer, Mr. Musk has secured $13 billion in loans from investment banks including Morgan Stanley, Bank of America Corp., Barclays PLC and MUFG Bank Ltd., and a $12.5 billion margin loan secured by a portion of his stake in Tesla Inc. [Source](https://www.wsj.com/articles/elon-musks-buyout-will-load-twitter-with-debt-high-leverage-ratio-11651007981) And I believe in the event of a bankruptcy Elon would at least have to pay back the 12.5 billion margin loan, so there is an incentive for him not to declare bankruptcy, which is probably why banks are willing to lend him 13 billion. The interest rates on that loan is like a billion dollars a year, so worst case Elon declares Twitter bankrupt, sell some Tesla shares to cover his portion, and banks liquidate X and there will be no more Twitter.

1 - Do your own DD but for financial stocks, but I opened a position in $CBOE and I am going to add there. I also have $HSBC and Japanese banks $SMFG and $MUFG on my watch list. I find the Japanese economy very intriguing and their stocks relatively cheap. 2 - The railroads are very interesting; but I have always liked the oil & gas pipelines for stocks with very high moats. I own quite a bit of Kinder Morgan. I am going to diversify a bit and open a position in Energy Transfer after their earnings sell off today.

Yeah, I opened a position in $SONY last week. I have also been looking at Japanese banks $SMFG and $MUFG since their banks don't seem to have the risk that US banks do right now.

I honestly think this is the beginning of massive consolidation in the banking industry in the US. Other countries have much more consolidated banking sectors. If you are a CFO or Treasurer and you are not banking with a money center bank in the US, you likely are getting a lot of questions from your board. I think the top US banks and the largest banks in each country are going to dominate the landscape given that the largest banks in each country are too big to fail. I think the below banks can’t fail and will dominate banking in the future even more so than now. The look stupid factor is too high right now to not be using one of these banks in the US. US - JPM, BofA, Wells UK - HSBC CANADA - BMO, TD France - PNB Baripas, SocGen, Credit Agricole Germany - DB Japan - MUFG, SMBC Switzerland - UBS

All my money is in my brokerage, And puts are WAY exceeding any equity losses (Which I hold solely for dividends, so I PREFER stock market goes down since I can buy more for cheaper and get higher yields). I've been watching $SMFG and $MUFG for the same possible trade. The Bank of Japan is going to have to make a decision soon whether or not they are going to keep their current bond yield caps or not. Japan's PPI inflation hit a 42 year high in December of 2022 meaning their current bond yield controls are not working. I believe if the BOJ increases their bond yields ceiling than the Yen moves much much higher vs the DXY dollar.

He stated at the Tesla shareholder meeting in August 2022 that he wanted to buy Twitter to accelerate his X .com plans by 3 years. I believe he fully intends to do this.

Good question. Okay I think there is 50/50 chance the court will force X Holdings I Inc. to buy Twitter for $54.20. Assuming the court orders specific performance everything will hinge on whether or not the lenders fund the $13B in debt. There are LOTS of people here on Reddit like u/screamingsnake828 that think there is ZERO chance that the lenders won't fund. I have read reports that if Elon doesn't want to do the deal the lenders won't fund. I'm giving it a 50/50 chance as well. Here is my thinking on the lenders: At least 65% of the initial lenders must agree to move forward with the deal - lenders include: MORGAN STANLEY SENIOR FUNDING, INC., BNP PARIBAS SECURITIES CORP., BOFA SECURITIES, INC., MIZUHO BANK, LTD., BARCLAYS, SOCIETE GENERALE, and MUFG. There are a number of conditions to close that are all very technical but there are a few that stand out: 1. If 65% of the lenders believe the company has experienced at Material Adverse Effect they don't have to fund; 2. If 65% of the lenders don't approve of the Investment Bank they don't have to fund; 3. The borrow's representative (likely Elon Musk) will need to attest to the company's value or the banks don't have to fund. Before the lenders will fund someone at X Holdings I Inc. (presumably Elon Musk) will have to sign something called a Solvency Certificate. If it is not signed the lenders do NOT have to fund. For example, Elon would need to swear that the fair market value of the company (including contingent liabilities) is greater than the amount borrowed. He'll need to swear that the company has enough cash to operate without borrowing more. And so on. What if Elon doesn't agree with those certifications? His sworn statements in the DE court put them in doubt. Anyway, if the lenders think that Twitter has suffered an MAE they don't have to fund. Then Twitter could get the court to let it act on X Holdings I Inc. behalf and sue the lenders. But that case wouldn't take place in DE - it would take place in NY - where the courts operate far more slowly. The drop dead date is in April - if they can drag it out until then they are out of the deal for good.

Thank you, that is an awesome high level summary. Where I am at in my research is I am confident that, relative to North American, MUFG does appear to take on a whole less risk. I am trying to ascertain/quantify (or attempt to) their behaviour in credit risk relative to the net interest margin generated. I’m trying to see if they are better at extracting money on risk unit then let’s say JPM. I would have thought this would have been done to death but turns out … not really.

I'll help you a bit with your essay. I know a lot about MUFG. Won't say publicly what the source is, but you can trust me on it. Morgan Stanley is an equity investment for MUFG. The operations are completely separate except in Japan where there is a joint venture between MS and MUFG. MUFG has its own investment banking division (Global IB) although it is closer to corporate banking with many typical IB activities such as M&A advisory or ECM issuance not being part of its services. MUFG still does acquisition finance and are also big in underwriting DCM. Also, they are probably the largest bank in project finance. The reason the bank cannot be split up is because 1) regulation; 2) very high level of integration with certain activities financing other ones; 3) it is a relationship bank and wants to provide a whole suite of services to a corporate. MUFG is conservative and doesn't like taking risks. Most lending is done to IG corporates. Balance sheet is not utilised very effectively. Bank is trying to improve on this, but exiting unprofitable relationships can be difficult especially in Japan where name lending is still very prevalent (lending on the basis of relationship and reputation rather than business case).

Thanks - love all the detail and I will have a look at the essay. I really appreciate the thoughtful responses! If I can ask another question: how would you assess the performance of a bank relative to how much risk they are taking on? I’ve been digging into MUFG a lot and either on a gross loan basis or risk weighted assets basis, there is no growth in their loan book yet net interest margin is falling each year and ROA is also not great. I must be missing something because I don’t understand how such a large bank consistently u underperforms.

Haha - I am certainly not qualified to comment on that but I do find it puzzling when a bank (like MUFG) under performs for over a decade and … nothing happens.

MUFG is a megabank. It got that large because the government encouraged Mitsubishi bank to merge with Sanwa and Tokai banks. Similar to how the US government encouraged mergers between banks following the great recession. The combination was made to protect depositors. On the other hand: MUFG is not a conglomerate. It is a pure play bank. The most secondary position it owns is Morgan Stanley. Which it acquired during the great recession. It is a mature company with stable profits. There isn't a safe way to "juice" a bank. Regulators would shut down any corporate raider types.

Your second point is interesting. I am doing a Masters Degree in Applied Finance and I am studying a particular Japanese bank (MUFG) and I was wondering about exactly this point: there seems to be a lot of "conglomerate" types companies in Japan, with very stagnant growth/earnings. I would expect that, in North America, corporate raiders/activist investors would have broken those up to unlock value and at least try to turn things around. I haven't found a paper or anything on this topic because somehow this doesn't seem to happen in Japan. I think you might be on to something ... Majinn
