If I recall correctly it's going to dilute an additional 650M shares and the original value was based on something like 3.5 per share or something. So it's a bit of a shakey deal. SMLR investors will be getting the shaft.
Strive after acquiring Semler Scientific owns over 10,800 if I understand the press release correctly. "Transaction details: * Deal represents an approximately 210% premium, equivalent to approximately $90.52 per share, based on the trading price of Semler Scientific common stock and Strive Class A common stock as of the market close on September 19, 2025. Each common share of Semler Scientific will be exchanged for 21.05 Class A common shares of Strive. * The combined company announces post-merger intention to explore monetizing or distributing Semler Scientific’s historically profitable diagnostics business at a future date, with a new management team and expanded mandate in preventative diagnostics. * **The combined company would own over 10,900 Bitcoin prior to any additional Bitcoin raised from future financings, in addition to sufficient cash held in reserve to support future perpetual preferred offerings.** * Strive management and Board of Directors will remain post-closing with Semler Scientific Executive Chairman Eric Semler expected to join the Board of Directors of the combined company. * We believe the combined company would become the fastest growing corporate Bitcoin holder, aiming to operate with a “preferred equity only” leverage model that avoids debt maturity risks associated with traditional leveraged Bitcoin strategies." # 🚀 Strive (ASST) — Still Climbing After the Weekend Surge **Date:** October 28, 2025 💥 **Momentum continues:** * After a **+75% run since Friday**, Strive remains a top-moving Bitcoin-treasury stock this week. * **Investor confidence grows** following Mike Alfred’s 1 M+ share position disclosure. * **Semler Scientific (SMLR) acquisition** confirmed — an all-stock deal giving Strive greater BTC-backed value. * **Bitcoin’s uptrend** fuels further buying pressure across crypto-treasury plays. * Analysts now call Strive *“one of the most undervalued yet promising BTC-treasury companies globally.”* 📈 **Fresh bullish coverage:** * *SeekingAlpha* — “Expansion Meets Bitcoin Tailwinds.” * *WSJ* — “Investors Pile Into Bullish Bets on Strive.” * *CoinCodex* — “Stock Surges Amid Renewed Investor Interest.” * *CoinCentral* — “$1.3 B Merger + Bitcoin Buying Spree.” 💎 **Sentiment:** With Bitcoin testing new highs, Strive looks positioned as the **MicroStrategy 2.0** — undervalued, accumulating BTC, and gaining institutional attention.
Its not. It's to run the price up so they can either exercise their warrants or use them to short it back down. MT Gox may have given them btc but its been extended another year. They also need to get the stock price back to 1.8 for the SMLR merger.
Half of my net is in BTC and BTC treasury related stocks. Mostly MSTR/MSTU/MSTY. I like ASST. I've been watching it for a few weeks now ever since SMLR deal. Initially I was positioned into SMLR but once ASST went under a dollar the play was on discount. The idea is go heavy long and exit half the position at 100% gain, making the other half essentially risk free. But tbh im gonna hold out for 10. This stock had legs before any hype. Now its has jet fuel.
$ASST buy, a bitcoin treasury! With $SMLR merger news , undervalued right now. Was just at 7$ a month ago.
Im all in - the stock went up cause they are trying to but SMLR at big premium
There’s a lot going on here because it’s a BTC treasury and it’s acquiring another one called SMLR, so I’d suggest not investing unless you research everything Also the short interest used to be high but it’s low, now so no squeeze really available
They were supposedly buying rights to BTC from Mt Gox. They said 75k, but I doubt they got that. They are also diluting another 600M shares (check that number its been a while) on their acquisition of SMLR. SMLR has BTC which will put their total holdings at over 10.9k BTC. It has 1.35 warrants that were used to tank the stock price, and they holders may way to exercise them and get shares. I'm not sure what its going to do though.
No. NAV is \~1.70 and that's before the SMLR merger which should push it up to about 2.70. DYOR.
Possible good sign for ASST+SMLR merger. Blackrock just filed a 13g for a 5.7% purchase of SMLR stock dated just 8 days after the merger with Strive was announced. Sept 30th. https://www.sec.gov/Archives/edgar/data/1554859/000201238325002701/xslSCHEDULE_13G_X01/primary_doc.xml
Dumbass question, ASST? Yes that god forsaken stock. Borrow rate is higher now. They are reaching SMLR:ASST share swap ratio which I see as a resistance level. It has been dumping for literal weeks and some sort of correction is due right? However, realistically, it could go lower still because SMLR just had a class action filed against them. Due process is at the end of the month. Could hurt money ASST obtains through negotiations made prior. What say the wise lounge?
All weekend it’s been bears doomposting and now it’s time they go hibernate until we get some slightly red and then they can brag about how of course we’re going down because of Venezuelan boats being bombed I’m thinking crypto will have a strong week and holding a little RIOT CIFR BITF right now. Sold puts on BMNR so it’d be nice to see them move further out Holding a good amount of PPTA and USAR for when they get their 🍊 man buy in phone call Always have a lot of NBIS I’d love for Gap to get off its butt this week too Holding FRMI and SMLR w calls sold on them And I’m keeping my eye on a few other tickers I’ll buy more of if they drop
There are whispers of Kindly MD (NAKA) stock being the next take-over target for Strive... it seems Strive (ASST) likes Medical Equip co.'s with large Bitcoin Treasury's trading below NAV - and NAKA is that! NAKA holds 5764 Bitcoin with a Market cap of only $483 million. We may be merged into ASST & SMLR soon which would really boost us all!

Stocks like IREN, BITF, SMLR, SMCI, lots of companies have shifted strategy by hedging with crypto, might be more relevant than we think. Might not be drastic but enough to get another set of pullbacks.
I’m not following… you are suggesting I purchase SMLR for $28 when it will covert over to $1.33?
Bought both SMLR and ASST the value will absolutely skyrocket the next few days, $50 deficit from acquisition from the mergers valuation meaning the implied value has a 3-4x upside potential.
That merger f’d asst holders , done, better to buy SMLR at this point
Legit cannot think of a worse play right now, with ASST management themselves diluting their share value with the SMLR merger and the $1.5 PIPE through Oct. This'll hit sub-$2 before any hope of bouncing up meaningfully, which conveniently is where your maintenance requirement sits. At least you're young enough to earn it back by your 30s.
It's not even that for $ASST, they just did a merger and now plan on another, one that will dilute the price significantly due to the ratio. 1 $SMLR : 21.05 $ASST which is significantly cheaper than current ASST price.
SMLR booming yesterday, booming today, and another booming day tomorrow !!
i know the mrege hasent happened yet. but as of now the SMLR is trading for 32 USD. with this new deal it is worth 2\*6 its value. beacuse 1 share in SMLR wil convert to 21 shares in ASST trading at 4 USD. so a reasnoble pricetarget in between, might be 48-49 USD per share in SMLR. and still beeing undervalued, just wait for the Bitcoin boom:) thoughts? ASST Holy Dilution Batman! Can someone explain to me what ASST gains from the dilutive all-stock merger with SMLR? They are paying a high premium and are incentivized to drive ASST stock price all the way down. Might as well buy BTC from the market.
Someone smart explain to me how SMLR ATM calls for the next expiration aren't free money. ASST to acquire SMLR, giving 20 shares of ASST per 1 share of SMLR. That means ASST gets diluted 30%. Current share price is ~$4. Even if they drop an additional 20% after the 30% dilution that'd still make SMLR shares worth ~$45 right?
Somebody who understands mergers well please help me understand this: $ASST is merging with $SMLR in an all-stock transaction which values SMLT at a huge premium (~$90.50 per share which is 210% premium). Yet SMLR is currently trading around only $32. Does this just mean the market thinks it's highly unlikely that the merger actually goes through?
Someone please explain why SMLR is barely moving thank you
SMLR sounds interesting, what do you think?
Time to go big in the SMLR merger
Got it 👍 — the **8-K you linked** is Strive’s official disclosure of two major material events: 1. **Acquisition of Semler Scientific (SMLR)** * Strive entered into a **definitive all-stock merger agreement** with Semler. * Each Semler share will be exchanged for **21.05 Strive Class A shares**. * The deal values Semler at about a **210% premium**, or roughly **$90.52 per share**. * Semler’s profitable diagnostics business may later be monetized or spun into a preventative diagnostics platform. * Eric Semler (Semler Scientific’s Executive Chairman) will join Strive’s board. 2. **Large Bitcoin Treasury Purchase** * Strive bought **5,816 BTC** at an average price of **$116,047**, spending **$675M**. * This brings Strive’s total holdings to **5,886 BTC**. * Post-merger, the combined company would own **10,900+ BTC**. * They plan to grow using a **preferred equity only** model (no debt maturities like other leveraged Bitcoin treasuries). 📌 **In short:** The Form 8-K is to inform investors that **Strive is acquiring Semler Scientific in a stock-for-stock merger** and that **Strive has massively expanded its Bitcoin treasury**. These are considered “material events,” so disclosure to the SEC and investors was required. Do you want me to break down what this means for **ASST (Strive stockholders)** versus **SMLR (Semler stockholders)** in terms of dilution and potential upside?
$SMLR bitcoin treasury and acquisition play. Currently trading at ~ $35 premium paid values it at ~ $90 https://investors.strive.com/news-releases/news-release-details/strive-inc-nasdaq-asst-and-semler-scientific-inc-nasdaq-smlr
ASST and SMLR Announce Bitcoin Treasury Merger in All-Stock Transaction
Buying SMLR, will have over 10,900 btc
What do we think about Semler scientific? SMLR…. Analysts have it pegged for WAY over what it’s at right now, and they are holding bitcoin reserve that is def not factored into their stock price yet
What do we think about SMLR
SMLR about to boom. MNAV < 1.2, Natalie Brunell on the board, they are profitable. Lot of short interest but convertible strikes are at 75 strike price.
You might be right. He did tweet about it since I can’t post the link to the tweet here’s what tom said: Microstrategy $MSTR Semler Scientific $SMLR created an investment class of #Bitcoin treasury $SBET @ethereumJoseph is the first for Ethereum and bridges crypto-traditional finance in a staking ecosystem. Positively enhances the layer 1 network @fs_insight @SeanMFarrell #SundayThoughts Referenced this tweet: NEW: @fundstrat's @SeanMFarrell adds @ethereumJoseph-led #ethereum treasury play $SBET to their crypto-linked equities basket after premium falls in line with $MSTR: Sharplink: 1.6x NAV on $ETH Strategy: 1.9x NAV on $BTC "We believe it offers intriguing upside at these prices"
So tons of MSTR and similar leveraged ETFs bought after hours combined with CIFR HUT and SMLR means BTC is about to start its next leg up right? I think they are waiting for rate cuts to buy more BTC and they will force them potentially this month all the miners have been pumping for weeks and that ETH microstrat clone went up 1000% in a day along with tons of BTC and ETH being bought by pretty much every one with money Also seeing lots of XRP and SOL ETFs getting stacked after close
I said it before and I’ll say it again BTC 7 getting ready to blast off next few months don’t miss the ride MTPLF(3350) MSTR SMLR MARA CEP(XXI) ASST CLSK 🤣🤣🤣

That’s the INITIAL price. It hasn’t happened yet, it’s just basically a proposition. So they’re tanking it to get a better price (in theory) “The sharp sell-off may also have to do with the convertible bond pricing period, as prospective bond buyers might be selling or shorting the stock. James Van Straten, senior analyst at CoinDesk, noted that MicroStrategy (MSTR) and Semler Scientific (SMLR) shares also declined during pricing periods of their convertible note offerings.”
SMLR does the same thing but w a higher BTC yield
YMM is the next APP Rapid growth, strong margins, low scaling costs !remindme 30d (I can't do a banbet because I'm already betting SMLR will reach $70 again) YMM should reach $14 by then
It's funny how the advice I give to some random guy on the MSCI board on Yahoo Finance always ends up outperforming my actual portfolio. This time, I'm going to take my own advice and put a significant amount of money in SMLR.
Semler Scientific. Chairman started buying bitcoin with the company’s FCF and by issuing stocks ATM. Current bitcoin stack sits at 1,873 bitcoin (approx. $190M) and market cap is $512M. If underlying business is valued at a P/E of 15, it would lead to a market cap of $270M. This would mean that SMLR is trading at 1.3x its BTC holdings vs. MSTR currently trading at 2.5x. I believe it’s undervalued
# **TLDR** --- **Ticker:** SMLR **Direction:** Up **Prognosis:** Long **Price Target:** $300 **Reasoning:** The Chairman is buying Bitcoin with company funds (currently holding ~$190M in BTC), and the underlying business is solid. Options trading is now approved, potentially leading to further BTC acquisitions. Analyst's calculations are... questionable, but the gut feeling is strong. **Disclaimer:** Analyst's calculations are probably wrong. Investment thesis based on vibes and gut feelings.
Yup, cos I considered SMLR and SMCI at the same time and decided to buy SMLR, now SMCI has gained by over 60% while SMLR is moving like a slug that can't decide whether to go forward or backward
Last update for anyone curious. Thank God I listened to y'all. I sold the next morning for a 200~300 loss. Proceeded to revenge trade, put my entire account into SMLR @ $61. That night bitcoin hit $100k for the first time, and SMLR opened at around $67 and I sold throughout pre-market, made around $1.8k. SMLR proceeded to crash to <$60 after market open. Phew. I'm done trading for the year, up 11.9k YTD. Be safe with your money y'all, I do crazy unsafe trades.
But now I've seen how much I have missed out, I bought SMLR. I hope it does as well.
For real, thank you. Made 1k buying the SMLR dip
I sold and went all in on SMLR
HUT, SMLR, LX, FINV !remindme 1y
indeed. BTC still needs to be going up for it to do well, but tbh it looks like it thrives the most while BTC is slow-grinding up versus straight vertical. the main thing giving me hope of a decent near-term rally is their copycat of the MSTR playbook offering 0% converts to purchase BTC for their balance sheet. they're the 2nd largest corporate holder of BTC at 34,794 according to their twitter. the only other (US) company consistently acquiring more BTC is SMLR I think, but they're considerably smaller in market cap (~500 million) I think things are more likely to go well for MARA in december than not purely based on historical price action BUT it could shit the bed and move later or not at all while everyone figures out there's no reason to own any BTC related stock other than MSTR because they're clearly going to eat up the majority of market share.
MSTR + SMLR take me to the promise land
Buy some shares of GNS, they’re getting naked shorted like a mf and they just adopted an MSTR / SMLR style Bitcoin strategy. Each shares like 83 cents and there’s only 21,000,000 shares
FML. I sold SMLR when they announced they were going into BTC
Anything else out there SMLR to MSTR?
MSTR, even SMLR is moving too 100k any minute now
SMLR is a unicorn... good fundamentals and into btc
You guys see anything SMLR to MSTR?
Buy SMLR shares, send me a nice tip in a few weeks when it doubles in price. Thanks
Be careful. MARA just announced that they’re going to try to follow the MSTR playbook by stockpiling Bitcoin. It’s up to them to make it work. Also check out SMLR.
Yeah I saw him picking on Germany paper handing while subtly flexing how they bought the dip 😂 I bought Mara at 7$ and sold along the way for MSTR after watching it lose steam to other miners and crypto stocks. I’m in COIN and SMLR primarily now since I believe alt season will prop up COIN and market will look for second MSTR and bid up SMLR
Will buy more $SMLR if there’s another entry point
SMLR
I actually purchased a small position into MAGS. Added a couple of shares of MSTR in my taxable and Roth. And loaded up on SMLR.
Yup. I have almost 50% of my total portfolio in crypto and/or BTC proxies. SOL, BTC, MSTR, and SMLR.
A close second…. SMLR (mini MSTR).
Forget GBTC. If you don’t like the responsibility of owning legit crypto, then look into FBTC (fidelity holds their own) or BITB (shows their wallet address for full transparency). Please remember that if you hold your own crypto, when you buy/trade/sell, that’s a tax event and you also pay transaction fees (gas fees). Some people forget that. If you buy the ETF’s, you’ll pay the 0.20%-0.25% (per year), per $1k, management fee. OR you can go this route, and buy Bitcoin proxies such as: MSTR (they have a split coming up next month), and SMLR (a mini MSTR). Personally, I hold everything I mentioned above, across multiple accounts.
Personally, my long term (7-10 years) are MSTR (they have a split coming up 1:10), TSLA, and SMLR. Thinking of adding a small position for AVGO and NVDA. I wouldn’t touch MSFT or AAPL. They’re great companies but they haven’t come out with anything new. They’re both subscription services at this point.
I have a mixture of Stocks and Crypto. I will possibly add an ETF (VONG or QQQM) into each portfolio. Roughly 10% I have about 40% in crypto (BTC and SOL). In my taxable (currently) (largest to smallest holdings): TSLA, MSTR, and SMLR. ROTH: TSLA, MSTR, MAIN, and FEPI.
I’d drop $10-$20k into MSTR now, before the 1:10 split next month. Personally, I own MSTR, TSLA, and SMLR.
Considering It’s a hedge against fiat. And a world currency. It’s a safe bet for long term growth. But, like others have said, I wouldn’t put all your eggs in one basket. Personally, the only two cryptos I hold are BTC and SOL. In my taxable TSLA, MSTR, and SMLR. And in my personal ROTH, TSLA, MSTR, MAIN, and FEPI.
I have an aggressive portfolio consisting mainly of BTC, FBTC, SOL, TSLA, and CLSK. I just added SCHG, SMLR (a mini MSTR), and FEPI (so far, distributions are RoC, not dividends. 25% yield). I’m going to buy some USFR for a little safety net. My “defense” has always been BTC (not the ETF’s). I believe that the crypto ETF’s are being manipulated at the moment. Which is disappointing but it can’t go on for too much longer because of how BTC is designed. Anyway, for me, over the next 6 months, I’m going to continue to stack TSLA, BTC, and layer into FEPI and USFR.
My entire portfolio is nano/micro caps. Nothing over $200MM. Except $SMLR. It’s been ok. Surviving. But not negative. Not stellar either.
What if they just use all that money to start buying bitcoin? worked for SMLR
My play: SMLR (pe 14) going to keep climbing because they loaded up on BTC, missing chromosome buyers going to pour in on basis of equivalency with SMCI (pe 42) and good fundamentals.
This was actually a stock that seemed well-regarded for their product for a while and it did very well. If you look up the stock from IPO to 2021, was pretty extraordinary. Apparently some sort of large customer issue a couple of years ago and then CMS codes not in their favor last year? I don't know what happened but it really cratered since. Nothing against bitcoin I think trying to ride bitcoin is kind of an admission that there isn't much worthwhile to the rest of the company. Will it go up if Bitcoin does? Probably, but there's not going to be a given "if bitcoin up than SMLR +X%"
They’ve a ton of cash on hand. Spent 200m on an unknown purchase. Likely either a company acquisition or more left field Bitcoin. Check out the companies that have added Bitcoin to their holdings, the share price has jumped; MSTR, metaplanet, SMLR. This would be a giga chad move.
Saw this when looking for something else.....apparently SMLR dumped their cash into bitcoin. so there's that.
